Ownership of Other Entities. Other than the subsidiaries of the Company listed in Exhibit 21 to the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2018, the Company, directly or indirectly, owns no capital stock or other equity or ownership or proprietary interest in any corporation, partnership, association, trust or other entity.

Except as otherwise disclosed in the Registration Statement, the Time of Sale Disclosure Package and the Prospectus, all of the issued and outstanding capital stock and other ownership interests of each subsidiary of the Company has been duly authorized and validly issued, is fully paid and non-assessable and is owned by the Company free and clear of any security interest, mortgage, pledge, lien, encumbrance, claim or equity. None of the outstanding shares of capital stock or other ownership interests of any subsidiary were issued in violation of the preemptive or similar rights of any security holder of such subsidiary. Other than the subsidiaries of the Company listed in Exhibit 21 to the Company’s Transition Report on Form 10-K for the transition period from January 1, 2015 to January 31, 2015, the Company, directly or indirectly, owns no capital stock or other equity or ownership or proprietary interest in any corporation, partnership, association, trust or other entity.
Ownership of Other Entities. Other than the direct and indirect subsidiaries of the Company listed in Exhibit 21 to the registration statement (No. 333-199394) filed in connection with the initial public offering, the Company, directly or indirectly, owns no capital stock or other equity or ownership or proprietary interest in any corporation, partnership, association, trust or other entity. As used in this Agreement with respect to the Company, “subsidiaries” shall mean direct and indirect subsidiaries of the Company and the Subsidiary.
Ownership of Other Entities. Other than Beyond Air, Ltd. and Advanced Inhalation Therapies (AIT), Inc., the Company, directly or indirectly, owns no capital stock or other equity or ownership or proprietary interest in any corporation, partnership, association, trust or other entity.
Ownership of Other Entities. Other than the Keys Subs, Keys does not own of record or beneficially any equity ownership interest in any other business entity. Other than the Keys Companies, the Keys Subs do not own of record or beneficially any equity ownership interest in any other business entity. The Keys Companies do not own of record or beneficially any equity ownership interest in any business entity.
Ownership of Other Entities. Except as set forth in Section 2.2(e) of the Disclosure Schedule and except for the TDI Subsidiaries, none of the TDI Companies nor any of the TDI Subsidiaries owns, directly or indirectly, any capital stock or other equity securities of any corporation, partnership, limited liability company or other organized business entity.
