Ownership of Collateral; Encumbrances. Except as otherwise permitted by the Credit Agreement, Pledgor is the record and beneficial owner of the Collateral free and clear of any Lien except for the security interest created by this Agreement, and Pledgor has full right, power and authority to pledge, assign and grant a security interest in the Collateral to Secured Party.

Pledgor is the sole record and beneficial owner of all of the Pledged Securities set forth on Schedule I free and clear of all Liens (other than the Liens of Secured Party) and subject to transfers of Pledgor’s Equity Interests as permitted under the Loan Agreement.

This Agreement constitutes a legal, valid, and binding obligation of Debtor enforceable against Debtor in accordance with its terms (except as limited by bankruptcy, insolvency, reorganization, moratorium or similar laws of general application relating to or affecting creditors' rights and general principles of equity (whether considered in a proceeding in equity or at law)). The execution, delivery and performance of this Agreement will not violate the terms of any contract, agreement, law, regulation, order, injunction, judgment, decree, or writ to which Debtor is subject and does not require the consent or approval of any other Person.
