Other than by reason of this Agreement or the transactions contemplated hereby, neither Parent nor any of its affiliates is, or has been during the past three years, an "interested stockholder" of the Company, as that term is defined in Section 203 of the DGCL or a "related company," "an affiliate of a related company" or "an associated person of a related company," as those terms are defined in Article SIXTH of the Company's Amended and Restated Certificate of Incorporation.
