Overage Fees. Your storage capacity and bandwidth (“Storage Capacity”) and your number of Authorized Users and Active Users licenses may be limited as specified in the applicable Order Form or the support terms of the Agreement and you agree that any additional Storage Capacity Authorized End User and Active Users in excess of what is contemplated in the applicable Order Form or the support terms of the Agreement may be subject to additional fees. Any failure by Blackboard to timely invoice for any overages due under this paragraph shall not constitute a waiver of your obligation to pay such fees.
Overage Fees. To the extent applicable to the Services and in the event that the Customer’s usage of or access to the Services in any billing period exceed the usage allotment set forth in the applicable Service Order (“Overage”), including the usage allotment of electrical power, network bandwidth, the number of subscriptions and/or the allotment of any third-party products/services (each an “Overage Product”), the Fees invoiced by Aptum to the Customer for the monthly period in which the Overage occurred or the invoice for the period after such month shall be adjusted accordingly in to reflect the Overage (i) in accordance with the unit price of Overage Product as expressly set forth in the Service Order; or (ii) if the unit price of the Overage Product is not expressly set forth in the Service Order, then in accordance with Aptum’s then current unit price of such Overage Product or 150% of your commit rate.
Overage Fees. Unless otherwise stated, any overage fees incurred by Customer will be billed in arrears at the rate listed on the Order Form. The additional units will be charged at the per unit pricing for those additional units as specified on the Order Form for the underlying subscription (or, absent such specification, at the same per unit pricing as the underlying subscription pricing), prorated for the portion of that subscription term remaining at the time the subscription units are added.
Overage Fees. Unless otherwise stated, any overage fees incurred by you will be billed in arrears. Overage fees which remain unpaid for 30 days after being billed are considered overdue. Failure to pay overage fees when due may result in the applicable Service being limited, suspended, or terminated (subject to applicable legal requirements), which may result in a loss of your data associated with that Service.
Overage Fees. In the event actual usage of Cloud Services exceeds the initial quantity ordered on the Purchase Order (“Overage”), CSR may be billed for any applicable Overage charges on a monthly basis in accordance with any applicable CSP terms or Documentation (“Overage Fees”). All undisputed portions of Distributor’s invoices for Overage Fees will be paid by CSR within thirty (30) days of CSR’s receipt of invoice for such.
Overage Fees. Overage fees will be charged in accordance with the SOW and will be invoiced following the end of the quarter in which such fees were incurred.
Overage Fees. Customer shall pay additional fees as set forth on the Order Form in the event that its use of the Services exceeds any of the metrics specified in the Order Form (the “Overage Fees”). Any such Overage Fees will be reflected in an invoice and subject to the payment terms of this Section 5.

Overage Fees. During the subscription term, Momentive may review the number of seats and/or responses utilized and discuss with the Customer options for purchasing additional units. Customer agrees to pay for either: (i) the additional seat units which will be at the per unit overages pricing as specified on the Order Form for the underlying subscription (or, absent such specification, at the same per unit overages pricing as the underlying subscription pricing), or (ii) the additional response bundles applicable based on usage.
