Common use of Outstanding Shares Clause in Contracts

Outstanding Shares. On the Closing Date, Pubco will have not more than 95,366,525 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing Date, accounting for the required cancellations and issuance of 25,005,544 Pubco Common Stock to the Selling Shareholders, Pubco will have not more than 95,366,525 46,505,544 common shares issued and outstanding in the capital stock of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Pubco.

Outstanding Shares. On the Closing Date, Pubco will shall have not no more than 95,366,525 55,000,000 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated and the share cancellations described in this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 common 7,669,521 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect immediately prior to the cancellation and issuance of the Pubco Shares and the Pubco Warrants as contemplated in by this Agreement and will have no more than 43,767,021 shares Pubco Common Stock and 3,048,750 Pubco Warrants issued and outstanding immediately after the issuance of the Pubco Shares and the Pubco Warrants as contemplated by this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing Date, Pubco will have not more than 95,366,525 99,533,333 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Pubco.

Outstanding Shares. On the Closing Date, Pubco will have not more than 95,366,525 common shares issued and outstanding in the capital no more than 38,845,827 shares of Pubco after giving effect Common Stock immediately prior to the cancellation and issuance of the Pubco Shares as contemplated in by this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing Date, including the Pubco Shares issuable to the Selling Shareholders, Pubco will have not more than 95,366,525 68,060,001 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Pubco.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 55,234,603 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellations described herein.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 common 185,000,000 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellations described herein.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 14,295,480 common shares issued and outstanding in the capital of Pubco, not including the 1,200,000 common shares in the capital of Pubco after giving effect to issued in the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Financing.

Outstanding Shares. On the Closing DateDate and subject to any financing approved by Priveco, Pubco will have not no more than 95,366,525 66,602,480 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellation described herein.

Outstanding Shares. On the Closing Date, Pubco will shall have not no more than 95,366,525 common shares 12,264,146 issued and outstanding in the capital shares of Pubco after giving effect to the cancellation Common Stock and issuance 78,030,877 convertible preferred shares of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Subco.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 32,500,000 common shares issued and outstanding in the capital of Pubco, not including the 8,000,000 common shares in the capital of Pubco after giving effect to issued in the CW1014752.10 Financing and following the cancellation and issuance of 5,000,000 common shares in the capital of Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13currently held by Xxxxxx XxXxxxxx.

Outstanding Shares. On the Closing Date, not including the Pubco will Shares issuable to the Selling Shareholders, Pubco shall have not no more than 95,366,525 5,266,089,296 common shares issued and outstanding in the capital of Pubco after giving effect to Pubco, assuming all the cancellation and issuance of the Pubco Settlement Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13are issued.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 55,500,000 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Pubco.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 7,490,000 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Pubco.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 32,500,000 common shares issued and outstanding in the capital of Pubco, not including such number of common shares in the capital of Pubco after giving effect issued pursuant to the Financing and following the cancellation and issuance of 37,700,000 common shares in the capital of Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13currently held by Xxxxxx XxXxxxxx.

On the Closing Date, Pubco will have not no more than 95,366,525 common 266,000,000 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellations described herein.

Outstanding Shares. On the Closing Date, including the Pubco will Shares issuable to the Selling Shareholders, Pubco shall have not no more than 95,366,525 ______________________ of the 300,000,000 authorized common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation Pubco. This number of issued and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13outstanding shares is shown on Schedule 1.

Outstanding Shares. On the Closing Date, Pubco will have not more than 95,366,525 68,981,167 common shares issued and outstanding in the capital of Pubco, including the 4,976,350 common shares in the capital of Pubco after giving effect to issued in the Financing and following the cancellation of 8,375,000 common shares in the capital of Pubco currently held by Xxxx Xxxxxxxx and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Xxxxx Xxxx.

Outstanding Shares. On the Closing Date, Pubco will shall have not no more than 95,366,525 common shares 12,264,146 issued and outstanding in the capital shares of Pubco after giving effect to the cancellation Common Stock and issuance Subco shall have no more than one (1) issued and outstanding share of the Pubco Shares contemplated in this Agreement, Subco Common Stock and to the private placement agreement referenced in below article 6.13no issued and outstanding shares of Subco Preferred Stock.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 common 100,000 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellations described herein.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 common 20,300,000 shares of Pubco Common Stock issued and outstanding, excluding any shares issued and outstanding in the capital of Pubco after giving effect pursuant to the cancellation Consultant Agreement, and immediately prior to the issuance of the Pubco Shares and any Conversion Shares as contemplated in by this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing DateDate and subject to any financing approved by Priveco, Pubco will have not no more than 95,366,525 81,186,516 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellation described herein.

Outstanding Shares. On the Closing Date, not including the Pubco will Shares issuable to the Selling Shareholder, Pubco shall have not no more than 95,366,525 40,000,000 common shares issued and outstanding in the capital of Pubco after giving effect to Pubco, assuming all the cancellation and issuance of the Pubco Settlement Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13are issued.

Outstanding Shares. On the Closing Date, Pubco PubCo will have not no more than 95,366,525 common 38,500,000 shares of PubCo Common Stock issued and outstanding in outstanding, after the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Private Placement Shares and after the cancellation of the Grant Shares as contemplated in by this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing Date, taking into account the issuance to the Priveco Interestholders and the cancellation of Pubco common stock contemplated by this Section 5.2(e), Pubco will have not more than 95,366,525 60,001,000 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Pubco.

Outstanding Shares. On the Closing Date, Pubco will have not more than 95,366,525 common shares issued and outstanding in the capital no more than 78,175,000 shares of Pubco after giving effect Common Stock immediately prior to the cancellation and issuance of the Pubco Shares as contemplated in by this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 48,200,000 common shares issued and outstanding in the capital of Pubco after giving effect to Pubco, following the Share Split and the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13220,000,000 post Share Split restricted shares of common stock.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 10,206,000 common shares issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13Pubco.

On the Closing Date, Pubco will have not no more than 95,366,525 common 72,700,000 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellations described herein.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 common 25,000,000 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect to the cancellation and issuance of the Pubco Shares contemplated in this Agreement, and to the private placement agreement referenced in below article 6.13share cancellations described herein.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 common 23,000,000 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect immediately prior to the cancellation and issuance of the Pubco Shares and the Private Placement Units as contemplated in by this Agreement and will have no more than 50,500,000 shares of Pubco Common Stock issued and outstanding immediately after the issuance of the Pubco Shares and the Private Placement Units as contemplated by this Agreement, and to the private placement agreement referenced in below article 6.13.. Outstanding Shares. On the Closing Date, Pubco PubCo will have not no more than 95,366,525 common 10,400,000 shares of PubCo Common Stock issued and outstanding in the capital of Pubco after giving effect immediately prior to the cancellation and issuance of the Pubco PubCo Shares, following a two-for-one share consolidation, after the issuance of the Private Placement Shares and after the cancellation of the Xxxxxxxxxx Shares as contemplated in by this Agreement, and to the private placement agreement referenced in below article 6.13.

Outstanding Shares. On the Closing Date, Pubco will have not no more than 95,366,525 common 6,033,096 shares of Pubco Common Stock issued and outstanding in the capital of Pubco after giving effect immediately prior to the cancellation and issuance of the Pubco Common Shares as contemplated in by this Agreement and will have no more than 19,033,096shares of Pubco Common Stock issued and outstanding immediately after the issuance of the Pubco Common Stock as contemplated by this Agreement, and to the private placement agreement referenced in below article 6.13.
