Outstanding Purchase Orders. Notwithstanding the foregoing, in the event (i) this Agreement is terminated for convenience by Seller, and (ii) provided Buyer is and remains current in its payment obligations, Seller shall honor all outstanding Purchase Orders as of the date of termination and Buyer shall have the right to make a last-time-buy of Product or Finished Devices.

Outstanding Purchase Orders. The full benefit of any and all purchase orders placed with and accepted by Seller on or before the Closing Date that have not been completely performed by Seller before the Closing Date, covering the purchase from Seller of products to be supplied by Seller, or covering the rendition by Seller of service on products supplied by Seller (including, without limitation, those items listed on SCHEDULE 1.6) (the "Outstanding Customer Purchase Orders").

Any items and merchandise described in this Section 9 that are accepted by BAC as additions to the BAC Assortment Inventory shall be disposed of in accordance with Section 7 hereinabove in the same manner, and with the same consequences, as the disposition of the BAC Assortment Inventory. As determined by 2Connect in its sole discretion, any items and merchandise described in this Section 9 that are not accepted by BAC as additions to the BAC Assortment Inventory shall either be disposed of in accordance with Section 7 hereinabove in the same manner, and with the same consequences, as the disposition of the 2Connect Inventory or delivered to 2Connect at 2Connect's sole cost and expense.
