Outside Business Activities. The Grantee acknowledges that, during the course of the Grantee’s employment, engagement, association or other similar affiliation with the KKR Group, the Grantee will be subject to the Written Policies. The Written Policies include restrictions that limit the ability of the Grantee to engage in outside business and other activities without the prior approval of the Company. If the Grantee has an employment, engagement or other similar contract with the KKR Group, the Grantee may be subject to similar restrictions under that agreement. The Grantee hereby agrees that, during the Grantee’s employment, engagement, association or other similar affiliation with the KKR Group, the Grantee will comply with all such restrictions that are from time to time in effect which are applicable to the Grantee.
Outside Business Activities. During the Employment Period, Executive shall not, without the prior written consent of the Company, engage in any other business activity, with or without compensation. Notwithstanding the foregoing, Executive shall be permitted to spend a reasonable amount of time on civic, charitable, and other non-commercial activities, and activities related to Executive’s investments, provided such activities are consistent in nature and scope as exist on the Effective Date and do not interfere with his duties and obligations under this Agreement.
Outside Business Activities. During the Period of Employment, the Executive shall devote such business time, energy and skill to the performance of the Executive’s duties for the Company to adequately promote the interests of the Company. The Executive shall have the right to continue to be involved with (i) the entities and such activities disclosed to the Board as of the date hereof as set forth on Exhibit A hereto, or (ii) such other activities as may be approved by the Board, with such approval not to be unreasonably withheld, provided that in each instance, such involvement with such other entities/activities does not materially interfere with the Executive’s responsibilities hereunder.
Outside Business Activities. Subject to the terms and conditions set forth in this Agreement, Company agrees to employ Executive as the President and hereby accepts this employment. During his term of employment with Company, Executive will devote his full time and best efforts to performing his duties and to the Company's business and affairs. Executive shall not engage in any other business, or directly or indirectly render any services to any other person, whether for compensation or not, without the prior written consent of the Board of Directors. This Agreement shall not prohibit Executive from making passive personal Investments.
Outside Business Activities. At times, individuals may participate in outside business activities such as serving on a board of directors, participating in community events or pursuing personal outside business interests. TD Waterhouse Canada Inc. has policies in place which require individuals to disclose situations where a conflict of interest may arise in order to determine how such conflicts may be addressed.

The Undersigned acknowledges that, during the course of the Undersigned’s employment, association or other similar affiliation with KKR, the Undersigned will be subject to written policies of KKR included in its employee manual, code of ethics and other documents relating to the Undersigned’s employment, association or other similar affiliation with KKR (the “Written Policies”). The Written Policies include restrictions that limit the ability of the Undersigned to engage in outside business activities without the prior approval of KKR. If the Undersigned has an employment contract with KKR, the Undersigned may be subject to similar restrictions under that agreement. The Undersigned hereby agrees that, during the Undersigned’s employment, association or other similar affiliation with KKR, the Undersigned will comply with all such restrictions that are from time to time in effect which are applicable to the Undersigned.

During your employment, you will devote your best efforts and full business time and attention to the Company, and you will not engage in any other business activity or have any other business pursuits or interests, unless such activity, pursuit or interest is approved by the Board in writing.
Outside Business Activities. During his employment with KSI, EMPLOYEE --------------------------- shall devote competent energies, interests, and abilities to the performance of his duties under this AGREEMENT. During the term of this AGREEMENT, EMPLOYEE shall not, without KSI's prior written consent, render any services to others for compensation or engage or participate, actively or passively, in any other business activities that would materially interfere with the performance of EMPLOYEE's duties hereunder or compete with KSI's business. 4.
Outside Business Activities. Subject to the terms and conditions set forth in this Agreement, Employer agrees to employ Employee as the Chief Operating Officer and President of Direct Lending, and Employee hereby accepts this employment. During the Term, Employee shall devote his full-time and best efforts to performing his duties and to Employer’s business and affairs.
