Other Voting. The Stockholder may vote on all issues that may come before a meeting of the stockholders of the Company in its sole discretion, provided that such vote does not contravene the provisions of this Section 4.

Nothing in this Agreement shall be deemed to govern or relate to any actions, omissions to act, or votes taken or not taken by any designee of the Stockholder serving on the Parent’s Board of Directors in such designee’s capacity as a director of Parent and in accordance with the Merger Agreement, and no such action taken by such designee in his capacity as a director of Parent shall be deemed to violate any of the Stockholder’s duties under this Agreement.
Other Voting. Subject to the limitations set forth in the Trust Agreement, the Trust may vote on all issues that may come before a meeting of the stockholders of the Company in its sole discretion; provided that such vote does not contravene the provisions of this Article 2.
