Common use of Other Transfers Clause in Contracts

Other Transfers. The Note Registrar shall effect and register, upon receipt of a written request from the Company to do so, a transfer not otherwise permitted by this Section 313, such registration to be done in accordance with the otherwise applicable provisions of this Section 313, upon the furnishing by the proposed transferor or transferee of a written opinion of counsel (which opinion and counsel are satisfactory to the Company) to the effect that, and such other certifications or information as the Company may require (including, in the case of a transfer to an Accredited Investor (as defined in Rule 501(a)(1), (2), (3) or (7) under Regulation D promulgated under the Securities Act), a certificate substantially in the form attached hereto as Exhibit F) to confirm that, the proposed transfer is being made pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act. A Note that is a Restricted Security may not be transferred other than as provided in this Section 313. A beneficial interest in a Global Note that is a Restricted Security may not be exchanged for a beneficial interest in another Global Note other than through a transfer in compliance with this Section 313.

A Note Security that is a Restricted Security may not be transferred other than as provided in this Section 3135. A beneficial interest in a Global Note Security that is a Restricted Security may not be exchanged for a beneficial interest in another Global Note Security other than through a transfer in compliance with this Section 3135.

The Note Registrar shall effect and register, upon receipt of a written request from the Company Issuer to do so, a transfer not otherwise permitted by this Section 3132.16, such registration to be done in accordance with the otherwise applicable provisions of this Section 3132.16, upon the furnishing by the proposed transferor or transferee of a written opinion Opinion of counsel Counsel (which opinion and counsel are satisfactory to the CompanyIssuer) to the effect that, and such other certifications or information as the Company Issuer or the Trustee may require (including, in the case of a transfer to an Accredited Investor (as defined in Rule 501(a)(1), (2), (3) or (7) under Regulation D promulgated under the Securities Act), a certificate substantially in the form attached hereto as Exhibit F) to confirm that, the proposed transfer is being made pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act. A Note that is a Restricted Security (within the meaning of Rule 144(a)(3) of the Securities Act) may not be transferred other than as provided in this Section 3132.16. A beneficial interest in a Global Note that is a Restricted Security (within the meaning of Rule 144(a)(3) of the Securities Act) may not be exchanged for a beneficial interest in another Global Note other than through a transfer in compliance with this Section 3132.16.
