Common use of Other Terminations Clause in Contracts

Other Terminations. If Executive’s employment is terminated at any time by the Company other than without Cause or due to Executive’s death or Disability (including a non-renewal of this Agreement) or by Executive without Good Reason, the Company shall not have any other or further obligations to Executive under this Agreement (including any financial obligations) except that Executive shall be entitled to receive the Accrued Obligations and OC\1608076.7 any continuation of benefits required by COBRA or applicable law (for which Executive shall be solely responsible).

Other Terminations. If the Executive’s employment is terminated at any time with the Company terminates by the Company other than without for Cause or due to Executive’s death or Disability (including a non-renewal of this Agreement) or by the Executive without Good Reason, or upon the end of the Initial Period or a Renewal Period following either the Company’s or the Executive’s issuance of a Notice of Non-Renewal, the Company shall not pay to the Executive the Accrued Obligations when due under applicable law and shall have any other or no further severance obligations to the Executive under this Agreement (including any financial obligations) except that Executive shall be entitled to receive the Accrued Obligations and OC\1608076.7 any continuation of benefits required by COBRA or applicable law (for which Executive shall be solely responsible)Agreement.

Other Terminations. If Except as provided in Section 3(c) below, if Executive’s employment is terminated at any time by the Company other than without Cause or due to Executive’s death or Disability (including a non-renewal of this Agreement) or for Cause, by Executive without Good Reason, or as a result of Executive’s death or Permanent Disability, the Company shall not have any other or further obligations to Executive under this Agreement (including any financial obligations) except that Executive shall be entitled to receive the Accrued Obligations and OC\1608076.7 any continuation of benefits required by COBRA or applicable law (for which Executive Obligations. The foregoing shall be solely responsible)in addition to, and not in lieu of, any and all other rights and remedies which may be available to the Company under the circumstances, whether at law or in equity.

If the Executive’s employment with the Company is terminated at any time by the Executive other than for death, disability or without good reason or by the Company for any reason other than without Cause death, disability or due to Executive’s death or Disability (including a non-renewal of this Agreement) or by Executive without Good ReasonCause, the Company shall not have any other or further obligations pay to the Executive under this Agreement (including any financial obligations) except that Executive shall be entitled to receive the Accrued Obligations in accordance with Section 4(a) above and OC\1608076.7 any continuation of benefits required by COBRA shall have no obligation to pay the Executive the Severance Amount or applicable law (for which Executive shall be solely responsible)the Continuation Benefit.
