Other Subcontractors. The Parties recognize that each may perform some or all of its obligations under this Agreement through subcontractors; provided, however, that each Party [*] and shall use Commercially Reasonable Efforts to cause its subcontractors to comply with the provisions of this Agreement in connection with such performance. For the avoidance of doubt, (a) Aptalis will remain directly responsible for all amounts owed to Strakan under this Agreement and (b) subject to the provisions of Section 7.1 Strakan shall be responsible for the Manufacture and supply of all Product to Aptalis pursuant and subject to the terms of the Supply Agreement. Each Party hereby expressly waives any requirement that the other Party exhaust any right, power or remedy, or proceed against a subcontractor, for any obligation or performance hereunder prior to proceeding directly against such Party.

Other Subcontractors. Consistent with 164.502(e)(1)(ii), Vendor will require its Subcontractors, other than its cloud service providers covered by Section 4(a), which create, receive, maintain, transmit, store or process PHI for or on behalf of Vendor, to provide reasonable assurance by written or digital agreement that the Subcontractors will comply with the same provisions with respect to PHI that are applicable to Vendor under this BAA.
Other Subcontractors. The Phase III Cogeneration Facility Contractor shall be responsible for ensuring that all Subcontractors of the Phase III Cogeneration Facility Contractor working on the Phase III Cogeneration Facility Site secure and maintain all insurance coverages under paragraphs 1(a), (b), (c), (d) of this Appendix, in accordance with the requirements of this Appendix, and other financial sureties required by Applicable Law in connection with their presence and the performance of their duties at or concerning the Phase III Cogeneration Facility.
Other Subcontractors. The Director shall reimburse the PAE for costs associated with other necessary Subcontractors, provided the Director's prior written approval is obtained for any and all costs in excess of $2,500. This shall include up to $500 for the third party cost of researching and identifying potential title and ownership issues during Due Diligence, in accordance with the Guide. For all subcontracts, the PAE shall exercise sound business judgment and take steps to ensure that the subcontract provides the best value to the Federal government, taking into account both quality and cost.
Other Subcontractors. Proposed Sub-contractors include three heavy equipment operators with specific experience in native material bank stabilization, stream restoration, fish habitat improvement, riparian transplanting and all other facets of engineered construction projects. These subcontractors have worked with Watershed Consulting and Xxxxxxxx Associates on a wide variety of stream and wetland restoration projects throughout Montana, and are well- established in their field of expertise: Xxxx Excavation, Dillon, MT 17 yrs Experience Xxxx Xxxxxxxx, Heron, MT 10 yrs Experience T&L Construction, Wolf Creek, MT 20 years Experience Stream and wetland restoration work will be performed by staff of Watershed Consulting and Xxxxxxxx Associates. Specific roles of staff involved in stream and wetland restoration are listed in Table 3 (Section 4.1.5). Revegetation will be performed by Watershed Consulting, LLC, under the direction of Xxxx XxxxxxXxxx, our principal restoration ecologist.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department.   • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers. A Contractor’s “Representative” is also broadly defined to include any subcontractors, employees, agents, or anyone else who acts on a Contractor’s behalf.

  • Third Party Contractors Tenant shall obtain and deliver to Landlord, Third Party Contractor’s certificates of insurance and applicable endorsements at least seven (7) business days prior to the commencement of work in or about the Premises by any vendor or any other third-party contractor (collectively, a “Third Party Contractor”). All such insurance shall (a) name Landlord as an additional insured under such party’s liability policies as required by Section 10.3.1 above and this Section 10.6, (b) provide a waiver of subrogation in favor of Landlord under such Third Party Contractor’s commercial general liability insurance, (c) be primary and any insurance carried by Landlord shall be excess and non-contributing, and (d) comply with Landlord’s minimum insurance requirements.

  • Sub-contractors Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.

  • Subcontractor Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer.

  • Employees and Contractors The Recipient agrees to disclose Confidential Information to any agents, affiliates, directors, officers, or any other employees, collectively known as the “Employees,” solely on a need-to-know basis and represents that such Employees have signed appropriate non-disclosure agreements or have taken appropriate measures imposing on such Employees a duty to third parties:

  • Contractor If COUNTY elects to renegotiate this Agreement due to reduced or terminated 20 funding, CONTRACTOR shall not be obligated to accept the renegotiated terms.
