Other Sales Agreements. Seller has not entered into any other contract to sell the Property or any part thereof which is currently in effect.

Other Sales Agreements. The Company is not a party to any agreement with an agent or underwriter for any other “at the market” or continuous equity transaction.

Any certificate signed by any officer or representative of the Company or any of its subsidiaries and delivered to the Agent or counsel for the Agent in connection with an issuance of Shares shall be deemed a representation and warranty by the Company to the Agent as to the matters covered thereby on the date of such certificate. The Company acknowledges that the Agent and, for purposes of the opinions to be delivered pursuant to Section 4(o) hereof, counsel to the Company and counsel to the Agent, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
Other Sales Agreements. Except for this Agreement, and after reasonable inquiry, (i) SELLER has not entered into any contract to sell the Premises or any part thereof that is currently in effect; and (ii) no person has a right of first refusal, option to purchase or other purchase right to the Premises or any portion thereof.
Other Sales Agreements. Other than this Agreement, no Seller nor any Affiliated Party has entered into any other contract to sell the Transferred Property, the Excluded Property or any part thereof, other than any de minimis tangible personal property sold in the ordinary course of any such Seller’s or Affiliated Party’s business.

The Company is not a party to any agreement with an agent or underwriter for any other “at the market” or continuous equity transaction, other than (i) that certain Controlled Equity OfferingSM Sales Agreement, dated December 29, 2017, between the Company and the Agent and (ii) that certain Controlled Equity OfferingSM Sales Agreement, dated December 29, 2017, between the Company and Cantor Xxxxxxxxxx & Co. (together, the “Prior ATM Sales Agreements”), for which, in each case, notices of termination have been sent by the Company. Any certificate signed by any officer or representative of the Company or any of its subsidiaries and delivered to the Agent or counsel for the Agent in connection with an issuance of Shares shall be deemed a representation and warranty by the Company to the Agent as to the matters covered thereby on the date of such certificate. Any certificate signed by any officer of the Company or any of its subsidiaries and delivered to the Agents or their counsel in connection with an issuance of Shares shall be deemed a representation and warranty by the Company to the Agents as to the matters covered thereby on the date of such certificate. The Company acknowledges that the Agents and, for purposes of the opinions to be delivered pursuant to Section 4(o) hereof, counsel to the Company and counsel to the Agents, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
Other Sales Agreements. Except as provided for in the JV Agreement, neither the Company or any Subsidiary has entered into any agreement or letter of intent to sell any interest in the Company, any Subsidiary or any of the Properties.

The Company acknowledges that Cowen and, for purposes of the opinions to be delivered pursuant to Section 7 hereof, counsel to the Company and counsel to Cowen, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
