Other Rights of Landlord. If Tenant fails to pay any Additional Rent when due, Landlord, in addition to any other right or remedy, shall have the same rights and remedies as in the case of a default by Tenant in the payment of Fixed Rent. If Tenant is in arrears in the payment of Rent, Tenant waives Tenant’s right, if any, to designate the items against which any payments made by Tenant are to be credited, and Landlord may apply any payments made by Tenant to any items Landlord sees fit, regardless of any request by Tenant. Landlord reserves the right, without liability to Tenant and without constituting any claim of constructive eviction, to suspend furnishing or rendering to Tenant any property, material, labor, utility or other service, whenever Landlord is obligated to furnish or render the same at the expense of Tenant, in the event that (but only for so long as) Tenant is in arrears in paying Landlord for such items for more than 5 days after notice from Landlord to Tenant demanding the payment of such arrears.

Notwithstanding Landlord’s election to continue the Lease in full force and effect after a default by Tenant and to relet the Land, Buildings or Improvements Landlord may at any time after such reletting elect to terminate this Lease for any such default.

If a party fails to pay any Rent or other sum owing when due or a party otherwise fails to fully and timely perform its obligations under this Lease and the other party engages an attorney in connection with such failure, the failing party shall pay upon demand the reasonable attorneys' fees incurred by the other party regardless of whether legal action is initiated in connection with such failure.

Any provision of this Lease to the contrary notwithstanding, Landlord shall not look to any property or assets of any partner, member, manager, shareholder, director, officer, principal, or employee of Tenant (collectively, the “Tenant Parties”) in seeking either to enforce Tenant’s obligations under this Lease or to satisfy a judgment for Tenant’s failure to perform such obligations; and none of the Tenant Parties shall be personally liable for the performance of Tenant’s obligations under this Lease. Any provision of this Section to the contrary notwithstanding, Landlord shall not discontinue providing utilities (other than overtime HVAC service) to the Premises due to any default of Tenant, until Landlord has obtained a court order or other similar determination by an applicable judicial or arbitrative body authorizing such discontinuance.
