Other Project Agreements. To the extent that, prior to the Effective Date of this Agreement, the Member and the Project Sponsor have entered into any agreements pertaining to the Project to which the Bank is not a party, the terms of such prior agreements remain in full force and effect, provided however, in the event of any conflict between such prior agreements and this Agreement, unless otherwise expressly provided in this Agreement, the terms of this Agreement shall prevail.

Other Project Agreements. The Borrower or any Project Party (other than Nortel) shall breach or otherwise fail to perform any material obligation under the Project Agreements or such Project Agreements shall cease for any reason (other than for a reason attributable to Nortel) to be in full force and effect except at the stated termination date thereof, or shall be assigned or otherwise transferred, terminated, or rescinded by any Project Party thereto; provided that it shall not be an Event of Default if, not later than one hundred twenty (120) days of any such breach or failure by such other Project Party, or the effective date of any termination or rescission in respect of such other Project Agreement (other than a termination or rescission based on a breach or failure by the Borrower), such breach or failure is cured or a substitute vendor enters into a new written agreement with the Borrower to continue to provide the equipment, systems and services contemplated under such Project Agreement on terms that conform to and will not result in a deviation from the then current Business Plans.
Other Project Agreements. The Parties foresee the possibility that it would be useful and in furtherance of their mutual Project objectives to enter into other Project Agreements as contemplated by the Construction Exhibit. Any such other Project Agreements shall be subject to mutual approval of final definitive documents by the governing body of each Party, including the City Commission.

Other Project Agreements. In the event of any conflict between the provisions of any of the Project Agreements with each other or with the Purchase Agreement, the provisions of the O&M Agreement shall control over the inconsistent provisions of any of the other Project Documents or the Purchase Agreement.

Other Project Agreements. Notwithstanding anything to the contrary in this Agreement, in connection with and as a condition to any Assignment of this Agreement by either Party (except for changes in the control of ArenaCo), the assignee must concurrently acquire all of the assignor's rights, and expressly assume, in writing, in form and substance reasonably acceptable to the other Party, all of the assignor's obligations under this Agreement (including assignor's rights in and to any amounts in the Capital Fund) and all other Project Agreements to which the assignor is a party. Notwithstanding the foregoing, if ArenaCo makes an Assignment of this Agreement, ArenaCo will not be required to make a corresponding Assignment of its rights or obligations under the Arena Parking Management Agreement, dated as of the Effective Date, between the City and ArenaCo.
Other Project Agreements. Notwithstanding anything to the contrary in this Agreement, in connection with and as a condition to any Assignment of this Agreement, (a) if the Licensor assigns this Agreement, the Licensor must also assign the Arena Agreement to the same assignee in connection therewith and (b) if the Licensee assigns this Agreement, the Licensee must also assign the Non-Relocation Agreement to the same assignee in connection therewith.
