Other Material Contracts. Company has no lease, contract or commitment of any nature affecting the Business and involving consideration or other expenditure in excess of $100,000.00, or involving performance over a period of more than twelve (12) months, or which is otherwise individually material to the operations of the Business, except for purchase orders taken in the ordinary course of business and except as explicitly described in Schedule 5.11(l) or in any other Schedule of the Disclosure Schedule.
Other Material Contracts. The Company is not a party to any lease, license, contract (including without limitation contracts with health maintenance organizations) or commitment of any nature involving consideration or other expenditure in excess of $1,000, or involving performance over a period of more than 90 days from the date hereof, or which is otherwise individually material to the operations of the Company, except as set forth in Schedule 3.10(i) of the Disclosure Schedule.
Other Material Contracts. The Seller does not have a lease, license, contract or commitment of any nature involving consideration or other expenditure in excess of one thousand dollars ($1,000), or involving performance over a period of more than twelve (12) months, or which is otherwise individually material to the operations of the Restaurants, except as described in Schedule 4.14(h) or in any other Disclosure Schedule.
Other Material Contracts. Company has no other Contract of any nature in connection with or affecting the Business and involving consideration or other expenditure in excess of Five Thousand Dollars ($5,000) (or its foreign currency equivalent as of the date hereof), or involving performance over a period of more than twelve (12) months, or that is otherwise individually material to the operations of the Business.
Other Material Contracts. Company has no lease, contract or commitment of any nature involving consideration or other expenditure in excess of $ 25,000, or involving performance over a period of more than three months, or which is otherwise individually material to the operations of Company, except as explicitly described in Schedule 3.13.(l).
Other Material Contracts. The Company has no lease, license, contract or commitment of any nature involving consideration or other expenditure in excess of $250,000, or which is otherwise individually material to the operations of the Company, except as set forth in Section 2.13(j) of the Disclosure Schedule, or except as would not reasonably be expected to have, individually or in the aggregate, a Company Material Adverse Effect.
Other Material Contracts. Sellers have no lease, license, contract or commitment of any nature involving consideration or other expenditure in excess of $50,000, or which is otherwise individually material to the operations of Sellers, except as explicitly described in Schedule 4.14.(l).
Other Material Contracts. Oakmont has no lease, license, contract or commitment of any nature involving consideration or other expenditure in excess of $100,000, or which is otherwise individually material to the operations of Oakmont.
Other Material Contracts. Except as otherwise disclosed, Seller is not a party to, nor is the property of Seller bound by, any representative or agency agreement; any agreement not entered into in the ordinary course of business; and indenture or lease; or any agreement that is unusual in nature or duration that would materially affect the Buyer.
Other Material Contracts. Seller and Transcend do not have any contract not specified in this Agreement or the Schedules hereto which is binding on Seller or Transcend or on any other party and which might materially (adversely or favorably) affect the properties, business or the financial condition of Seller or the Business.
