If the contractor chooses not to burden ODCs, then the contractor shall propose an H-clause to establish that burdens will be unallowable for ODCs. NO FEE SHALL BE APPLIED TO ODCs.

Other Direct. Costs (ODCs)
Other Direct. COST (ODC) LIMITATIONS UNDER IDIQ CLIN 0002 The estimated cost of ODCs under CLIN 0002 shall include all direct costs other than labor-related costs (e.g. material, equipment, subcontracts, travel, and training required for performance of the total amount of work) that can be ordered by the Government under this CLIN during the life of this contract. The labor-related cost includes all applicable labor costs, including that of subcontractors. The amount of ordered Other Direct Costs under all task orders under CLIN 0002 will not exceed $6,000,000.
Other Direct. Costs (ODC) are based on a per annum not-to-exceed amount. Approval shall be obtained from the COR prior to the purchase of any material or travel expenses. All materials purchased by the Contractor under this item are the property of the Federal Government. Costs associated with travel and lodging shall be reimbursed in accordance with the JTR. The number and types of trips, including the number of personnel traveling, shall be limited to the minimum required to accomplish work requirements and shall be coordinated with the Government Project Manager for each individual task and the COR. Other Direct Costs necessary for the performance of this contract shall be reimbursed in accordance with NAVAIR clauses 5252.232-9509, Reimbursement of Travel, Per Diem, and Special Material Costs, and 5252.242-9515, Restriction on the Direct Charging of Material. ODC may include General and Administrative (G&A) expenses, but shall not include profit/fee. Any material remaining after completion of the contract, the cost of which has been reimbursed by the Government, shall remain Government property and disposition instructions shall be sought from the Procuring Contracting Officer (PCO).
Other Direct. Costs (ODCs): The COR/ACOR and Contracting Officer approval shall be obtained prior to the purchase of any materiel in accordance with H-1 NAVAIR Clause 5252.242-9515 Restrictions on the Direct Charging of Material (Variation) or travel expenses in accordance with NAVAIR Clause 5252.232-9509 Travel Approval and Reimbursement Procedures (NAVAIR)(OCT 2013).

  • Other Direct Costs If necessary to complete the Services, Contractor also agrees to procure and provide all materials or other direct cost items necessary to complete the Services and to charge Mercy Corps for only the actual costs incurred by Contractor for other direct costs incurred in performing the Services. Contractor will use its best efforts to obtain the best possible prices for all other direct costs, including, when reasonable, obtaining multiple competing bids and selecting the item with the best value. Any materials that cost in excess of [amount and currency -contact your Head of Finance for donor-related thresholds] must be presented to Mercy Corps for its written approval prior to Contractor purchasing the item(s). Contractor must obtain receipts for all costs it charges to Mercy Corps hereunder that are above $25 USD and include them in invoice submissions. Mercy Corps may request additional documentation regarding prices paid, quality, and contractual arrangements at any point and may withhold or dispute payment for any costs until such documentation is provided. Likewise, if Contractor makes purchases at rates that Mercy Corps reasonably determines exceed local market rates for the materials, Mercy Corps may choose to only reimburse Contractor for verified market rates in the local market.

In the event that such distribution is not so made, the Exercise Price and the number of Shares issuable upon exercise of this Warrant then in effect shall be readjusted, effective as of the date when the Board of Directors determines not to distribute such shares, evidences of indebtedness, assets, rights, cash or warrants, as the case may be, to the Exercise Price that would then be in effect and the number of Shares that would then be issuable upon exercise of this Warrant if such record date had not been fixed.

  • Motions for Directions (1) Class Counsel or the Settling Defendants may apply to the Ontario Court and/or such other courts as may be required by the Courts for directions in respect of the interpretation, implementation and administration of this Settlement Agreement. Unless the Courts order otherwise, motions for directions that do not relate specifically to the matters affecting the Quebec Action shall be determined by the Ontario Court.

  • Per Diem Nurse A nurse in a nursing position who does not qualify as a classified staff nurse. Employment will conform to the rules on temporary employment. Per diem nurses are temporary employees not covered by the terms of this labor agreement. The Association will be provided with quarterly reports on the use of per diem nurses used by unit and number of hours for the period covered by the report.

  • Advancement of Expenses To the extent not prohibited by law, the Company shall advance the expenses incurred by Indemnitee in connection with any proceeding, and such advancement shall be made within twenty (20) days after the receipt by the Company of a statement or statements requesting such advances (which shall include invoices received by Indemnitee in connection with such expenses but, in the case of invoices in connection with legal services, any references to legal work performed or to expenditures made that would cause Indemnitee to waive any privilege accorded by applicable law shall not be included with the invoice) and upon request of the Company, an undertaking to repay the advancement of expenses if and to the extent that it is ultimately determined by a court of competent jurisdiction in a final judgment, not subject to appeal, that Indemnitee is not entitled to be indemnified by the Company. Advances shall be unsecured, interest free and without regard to Indemnitee’s ability to repay the expenses. Advances shall include any and all expenses actually and reasonably incurred by Indemnitee pursuing an action to enforce Indemnitee’s right to indemnification under this Agreement, or otherwise and this right of advancement, including expenses incurred preparing and forwarding statements to the Company to support the advances claimed. Indemnitee acknowledges that the execution and delivery of this Agreement shall constitute an undertaking providing that Indemnitee shall, to the fullest extent required by law, repay the advance if and to the extent that it is ultimately determined by a court of competent jurisdiction in a final judgment, not subject to appeal, that Indemnitee is not entitled to be indemnified by the Company. The right to advances under this Section shall continue until final disposition of any proceeding, including any appeal therein. This Section 6 shall not apply to any claim made by Indemnitee for which indemnity is excluded pursuant to Section 10(b).
