Other Conveyances. (a) Prior to the Closing Date, Seller shall and shall cause Seller Parent to assign, transfer and convey (or cause to be assigned, transferred and conveyed), without violation thereof, to one or more members of the Alkali Group, and such members of the Alkali Group shall accept and assume, all of Seller and Seller Parent’s rights and obligations under the Contracts set forth on Section 6.20 of the Company Disclosure Schedule, in each case, pursuant to a form of assignment approved by Purchaser (such approval not to be unreasonably withheld).

Other Conveyances. Notwithstanding anything to the contrary in this Agreement:
Other Conveyances. In the event the Purchaser agrees from time to time after the Initial Conveyance to acquire one or more Loan Assets from the Seller, the Purchaser shall deliver written notice thereof to the Administrative Agent substantially in the form set forth in Schedule B hereto (each, a “Purchase Notice”), designating the date of the proposed Conveyance (a “Subsequent Conveyance Date”) and attaching a supplement to Schedule A identifying the Loan Assets proposed to be Conveyed and the Purchase Price with respect to such Conveyance. On the terms and subject to the conditions set forth in this Agreement and the Loan and Servicing Agreement, the Seller shall Convey to the Purchaser without recourse (except to the extent specifically provided herein), and the Purchaser shall accept such Conveyance, on the applicable Subsequent Conveyance Date (each such Conveyance being herein called a “Subsequent Conveyance”), all of the Seller’s right, title and interest (whether now owned or hereafter acquired or arising, and wherever located) in and to each Loan Asset then reported by the Seller on the supplement to Schedule A attached to the related Purchase Notice, together with all proceeds of the foregoing. The Seller shall specify in the applicable Purchase Notice the portions of the Purchase Price to be paid in cash and as a capital contribution.
Other Conveyances. (a) At the Effective Time, the Company shall transfer and deliver to Purchaser, pursuant to conveyancing documents in form and substance reasonably satisfactory to Purchaser and executed by the Company and Purchaser, as appropriate, all of the stock of CMC and all of the other Related Assets, and the Purchaser shall assume all of the Assumed Related Liabilities. In exchange therefor, the Company shall be entitled to receive from the Purchaser the Related Assets Consideration, as hereinafter provided.
Other Conveyances. Those parties to the Hall of Fame Conveyance ----------------- Agreement, Hotel Agreement for Sale and Purchase, World Golf Village Golf Course Conveyance Agreement and Parcel Two Sale Agreement (collectively, the "Other Conveyance Agreements") shall have performed all their respective obligations prior to Closing and all conditions to performance by SJH Partnership thereunder shall have been met.

  • Conveyances Subject to the terms and conditions provided for in the PSA, the Depositor hereby makes the assignments and conveyances specified in Article II of the PSA as being effected by execution and delivery of this Substitution Transfer Agreement, in each case (i) with respect to the Substitute Contracts (together with related Substitute Transferred Assets) identified on the Substitution Schedule of Contracts attached hereto, and (ii) in the manner and to the effect described in Article II of the PSA.

The Stated Principal Balance of each Mortgage Loan as of the related Cut-off Date is determined after application of payments of principal due on or before the related Cut-off Date whether or not collected, together with any unscheduled Principal Prepayments collected prior to the related Cut-off Date; provided, however, that Monthly Payments for a Due Date beyond the Cut-off Date shall not be applied to reduce the principal balance. Such Monthly Payments shall be the property of the Purchaser. If the Servicing Transfer Date has not yet occurred, the Seller shall remit any such Monthly Payments to the Purchaser on the Remittance Date following collection thereof. If the Servicing Transfer Date has occurred, the Seller shall remit any such Monthly Payments to the Purchaser in accordance with the Servicing Transfer Instructions.

  • Other Consents No amendment, modification, termination or waiver of any provision of the Credit Documents, or consent to any departure by any Credit Party therefrom, shall:

The Trustee acknowledges such sale, accepts the trusts hereunder in accordance with the provisions hereof and agrees to perform the duties herein in accordance with the provisions of the Operative Documents.
