The Bank will not be obligated to make an ------------------------------ advance or to issue any Letter of Credit under the Line of Credit until the Borrower has provided the following, all in form and content satisfactory to the Bank: certified resolutions of the Borrower's Board of Directors authorizing the borrowings hereunder and the execution and delivery of this Agreement and the other Loan Documents; certified certificate or incorporation and by-laws of the Borrower and a certificate of good standing from the Commonwealth of Pennsylvania; and an opinion of counsel to the Borrower addressing such matters relating to the Borrower and this transaction as the Bank may reasonably request.

(a) The representations and warranties set forth in this Agreement and in Section 5 shall be true and correct in all material respects on and as of the relevant Advance Date with the same effect as though made on and as of such date, except to the extent such representations and warranties expressly relate to an earlier date.
