Other Compensation and Benefit Plans. Subject to the provisions of Section 8(c), the rights and benefits of the Executive under this Agreement shall not be in lieu of the Executive’s benefits under any compensation or benefit plan or program of the Company, which shall be payable in accordance with the terms and conditions of such plans or programs.

Other Compensation and Benefit Plans. Executive will not be eligible to participate in any group life insurance, retirement and other compensation or benefit plans of the Company or any affiliate, except that he will retain any vested benefits under all qualified retirement plans of the Company, and all rights associated with such benefits, as determined under the terms of those plans.

Other Compensation and Benefit Plans. You and/or your family, as the case may be, will be eligible to participate in any and all other compensation and benefits plans, programs, policies and other arrangements of the Company and its subsidiaries to the same extent as provided generally to similarly situated executives of the Company. You will be entitled to not less than four (4) weeks of paid vacation per year and, subject to the immediately following paragraph, the Company will promptly reimburse you for all reasonable business expenses incurred by you in accordance with the Company’s expense reimbursement policies in the performance of your duties to the Company; provided, however, that (i) the amount of expenses eligible for reimbursement in any given calendar year shall not affect the expenses that the Company is obligated to reimburse in any other calendar year, and (ii) in no event shall the Company’s obligations to make such reimbursements or to provide such in-kind benefits apply later than your remaining lifetime (or, if longer, through the sixth (6th) anniversary of the date hereof).
Other Compensation and Benefit Plans. The adoption of the Plan shall not affect any other share incentive or other compensation plans in effect for the Company or any Subsidiary, nor shall the Plan preclude the Company from establishing any other forms of share incentive or other compensation or benefit program for employees or other service providers of the Company or any Subsidiary.
