Other Company Property. Upon termination of his employment for any reason whatsoever, Executive shall promptly return and deliver to the Company (i) all documents, records, notebooks, work papers and all similar repositories containing any Confidential Information of any of the member companies of the CUI Group or any other information belonging to or concerning any of the member companies of the CUI Group or any of their respective customers or suppliers, whether prepared by Executive, the Company, CUI or anyone else, and (ii) all other property of any of the member companies in Executive's possession, such as, but not limited to, computers, printers and other computer accessories, software products, telephones, pagers and other communication devices, furniture and keys.

With respect to each item and except as disclosed in Schedule 3.17: (i) the Company possesses all right, title, and interest in and to the asset, free and clear of any Lien (except Permitted Liens), license or other restrictions, except restrictions imposed by law; (ii) there are no disputes, oral agreements, or forbearance programs in effect with respect to such item; (iii) the Company has not agreed to indemnify any Person for or against any interference, infringement, misappropriation, or other conflict with respect to the item; and (iv) to Seller’s Knowledge, there are no existing or contemplated condemnation, zoning or other land use regulation proceedings affecting any such item that is an interest in real property.

  • Company Property The Executive understands that all documents (including computer records, facsimile and e-mail) and materials created, received or transmitted in connection with his work or using the facilities of the Company are property of the Company and subject to inspection by the Company at any time. Prior to the termination of my employment or promptly after termination of my employment, I will cooperate with Company in attending an exit interview and certify in writing that I have complied with the requirements of this section.

  • RETURN OF COMPANY PROPERTY AND RECORDS The Executive agrees that upon termination of the Executive’s employment, for any cause whatsoever, the Executive will surrender to the Company in good condition (reasonable wear and tear excepted) all property and equipment belonging to the Company and all records kept by the Executive containing the names, addresses or any other information with regard to customers or customer contacts of the Company, or concerning any proprietary or confidential information of the Company or any operational, financial or other documents given to the Executive during the Executive’s employment with the Company.
