Common use of Other Agents; Arrangers and Managers Clause in Contracts

Other Agents; Arrangers and Managers. None of the Lenders or other Persons identified on the front page or signature pages of this Credit Agreement as “Syndication Agent,” “Lead Arranger” or “Book Manager” shall have any right, power, obligation, liability, responsibility or duty under this Credit Agreement other than, in the case of the Syndication Agent, those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Credit Agreement or in taking or not taking action hereunder.

Without limiting the foregoing, none of the Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Credit Agreement or in taking or not taking action hereunder.

None of the Lenders Banks or other Persons identified on the front facing page or signature pages of this Credit Agreement as a “Syndication Agentco-syndication agent,” “Lead Arrangerbook manager,” or “Book Managerarranger” shall have any right, power, obligation, liability, responsibility or duty under this Credit Agreement other than, in the case of the Syndication Agentsuch Banks, those applicable to all Lenders Banks in their individual capacity as suchparties hereto. Without limiting the foregoing, none of the Lenders Banks or other Persons so identified shall have or be deemed to have any fiduciary relationship with any LenderBank. Each Lender Bank acknowledges that it has not relied, and will not rely, on any of the Lenders Banks or other Persons so identified in deciding to enter into this Credit Agreement or in taking or not taking action hereunder.

Without limiting the foregoing, none of the Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Credit Loan Agreement or in taking or not taking action hereunder.
