Organization of the Seller. The Seller is a corporation duly organized, validly existing, existing and in good standing under the laws of the jurisdiction of the State of Arizona and has all the requisite power and authority to own, lease and operate its properties and to carry on the Business as now being conducted. Seller is qualified to do business in the jurisdictions set forth in Schedule 3(a), which constitute each jurisdiction other than Arizona, if any, in which it is conducting business or the operation, ownership or leasing of its properties makes such qualification necessary.
