Common use of Option to Purchase Common Stock Clause in Contracts

Option to Purchase Common Stock. The senior management of the Company will recommend that the Board grant the Executive an option to purchase 125,000 shares of the Company’s common stock, $0.00001 par value per share (the “Common Stock”) having an exercise price equal to the fair market value of the Company’s Common Stock as of the grant date and that such stock option shall have a term of ten (10) years (the “Option”).

The Promptly following the Effective Date, the senior management of the Company will recommend that the Board grant the Executive an option (the “Option”) to purchase 125,000 seven hundred thousand (700,000) shares of the Company’s common stock, $0.00001 par value per share Common Stock (the “Common StockShares”) having pursuant to the Company’s 2004 Equity Incentive Plan as Amended (the “Plan”) at an exercise price per share equal to the fair market value of a share of the Company’s Common Stock as of the grant date of such grant, as determined by the Board, and that such stock option shall have a term of ten (10) years (subject to the “Option”).following vesting schedule:
