Opportunity to inspect. 9.1 Supplier ensures that Customer or its nominee has the opportunity to inspect the Goods or the manufacturing process of the Goods and/or any place where the Services or part thereof may be carried out.
Opportunity to inspect. 7.1 Supplier shall ensure that Buyer or its designated third party can inspect the Products and the manufacturing facilities and process of the Products and/or any place where the Services or part thereof may be carried out. Upon request, Supplier shall make knowledgeable personnel available for interviewing to verify compliance of the Products and manufacturing process with the Agreement and specifications.
Opportunity to inspect. Buyer acknowledges and agrees, for Buyer and Buyer's successors and assigns, that (i) Buyer is being given a reasonable opportunity to inspect and investigate the Property and all aspects relating thereto, either independently or through agents, consultants or experts of Buyer's choosing; (ii) Buyer shall inspect and investigate the Property during the Inspection Period and engage such qualified agents, consultants or experts, including, without limitation, environmental consultants, as Buyer deems necessary to make all appropriate inquiry regarding the condition of the Property and adjacent property, including, without limitation, the presence thereon, or the condition thereof with respect to, any "Hazardous Materials" (as defined below); and (iii) if Buyer does not terminate this Agreement pursuant to Section 5.2.2, then at Closing, Buyer shall acquire and accept the Property in its then-existing condition on an "AS IS, WHERE IS, AND WITH ALL FAULTS" basis, with no right of set-off or reduction in the Purchase Price. As used in this Agreement, "Hazardous Materials" shall mean any hazardous or toxic substances, materials or wastes, defined or regulated as such in or under any "Environmental Law" (as defined below), including, without limitation, asbestos, gasoline and any other petroleum products (including crude oil or any fraction thereof), polychlorinated biphenyls and urea-formaldehyde insulation. As used in this Agreement, "Environmental Law" shall mean any and all federal, state, local or municipal laws, rules, orders, regulations, statutes, ordinances, codes, decrees or requirements of any governmental authority or requirements of law (including common law) relating to or imposing liability or standards of conduct concerning the protection of human health, the environment or natural resources, or to releases or threatened releases of Hazardous Materials into the environment, including, without limitation, ambient air, surface water, groundwater or land, or otherwise relating to the manufacture, processing, distribution, use, treatment, storage, disposal, transport or handling of Hazardous Materials, as now or may hereafter be in effect.
Opportunity to inspect. Expect as expressly provided herein, BUYER has had an opportunity to review and inspect the Water System and the Water Resources to determine the feasibility of the intended use. Except as expressly provided herein, BUYER is not otherwise relying upon representations from BUYER and is entering into this Agreement upon reliance of its own observation, investigations and inspection. Except as expressly stated herein, SELLER hereby disclaims any and all warranties and representations, as to the Water System, its condition, quality, character and suitability for any use whether existing or contemplated.

Opportunity to inspect. Purchaser has had an opportunity to inspect relevant documents relating to the organization and operations of the Company. Purchaser acknowledges that all documents, records and books pertaining to this investment which Purchaser has requested have been made available for inspection by Purchaser and Purchaser's attorney, accountant or other adviser(s).
Opportunity to inspect. The Lender and such inspecting engineers, other consultants or representatives as the Lender reasonably requires shall have had an opportunity to visit and inspect such Approved Project including the land comprising such Approved Project, the plans and specifications for contemplated improvements to be constructed as part of such Approved Project and all plans, specifications, permits and other documentation describing such Approved Project, which inspections and the results thereof shall have been satisfactory to the Lender.
Opportunity to inspect. XXX acknowledges that it has inspected the Leases, xxxxx and equipment and that same are acceptable to it. XXX has been advised that certain of the existing xxxxx are located in the 100-year flood plain.
Opportunity to inspect. TENANT ACKNOWLEDGES THAT IT HAS HAD THE OPPORTUNITY TO INSPECT THE PREMISES OF ALL LOUISIANA LEASED PROPERTY AND, IN ACCORDANCE WITH THE PROVISIONS OF LA. C.C. ARTICLE 2699, HEREBY SPECIFICALLY WAIVES ANY AND ALL WARRANTIES PROVIDED BY THE PROVISIONS OF THE LOUISIANA CIVIL CODE TO THE FULLEST EXTENT PERMITTED BY LAW.
Opportunity to inspect. Purchaser hereby represents to the Shareholders that it has been afforded by the Shareholders the opportunity to make full and complete inspection of (i) the Company's books and records (including the Company's Financial Statements, tax returns, accounts receivable, accounts payable, etc.), (ii) the Company's assets (including without limitation, the inventory and tangible and intangible personal property), and (iii) all mechanical equipment, the roof, the structural integrity of the improvements on the Real Property and the interior of such improvements.
