Opinion of the General Counsel of the Company. Xxxxxx X. Xxxxx, the General Counsel of the Company, shall have furnished to the Representatives, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex D hereto.
Opinion of the General Counsel of the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Xxxxxxxxxxx X. Xxxxxx, the General Counsel of the Company, dated the First Closing Date or the Option Closing Date, as applicable, and addressed to the Representatives, substantially in the form of Exhibit E attached hereto.
Opinion of the General Counsel of the Company. The opinion of the General Counsel of the Company, or other counsel reasonably satisfactory to the Agents, substantially in the form attached hereto as Exhibit B.
Opinion of the General Counsel of the Company. The Company shall have furnished to the Representatives an opinion of the General Counsel of the Company, addressed to the Underwriters, to the effect set forth in Annex C hereto.
Opinion of the General Counsel of the Company. On the Closing Date, the Representatives shall have received the opinion of Xxxxxxxxxxx X. Xxxxxx, the General Counsel of the Company, dated the Closing Date, and addressed to the Representatives, in the form and substance reasonably satisfactory to the Representatives.
Opinion of the General Counsel of the Company. At Closing Time, the Representative(s) shall have received the favorable opinion, dated as of Closing Time, of Xxxx X. Xxxxxx, Esq., General Counsel of the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of the General Counsel of the Company. D. CLOSING CERTIFICATES AND MISCELLANEOUS
Opinion of the General Counsel of the Company. At Closing Time, the Representatives shall have received the favorable opinion of William R. Burkhart, Senior Vice President and General Counsel ox Xxxxxxx, xx xxxx and substance satisfactory to the Underwriters, together with signed or reproduced copies of such opinion for each of the other Underwriters to the effect set forth in Exhibit B.
Opinion of the General Counsel of the Company. The favorable opinion of the General Counsel of the Company, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of the General Counsel of the Company. Jxxxx X. Xxxxxxx, General Counsel of the Company, shall have furnished to Underwriter such counsel's written opinion, dated the Closing Date and addressed to the Underwriter, in form and substance reasonably satisfactory to the Underwriter, to the effect substantially as set forth in Annex A-2 hereto.
