Opinion of Counsel to the Obligors. A customary favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Dechert LLP, New York counsel for the Obligors.
Opinion of Counsel to the Obligors. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Restatement Effective Date) of Xxxxxx Xxxxxxx Xxxxx & Xxxxxxxxxxx LLP, counsel for the Obligors, in form and substance reasonably acceptable to the Administrative Agent and covering such matters as the Administrative Agent may reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
Opinion of Counsel to the Obligors. The Administrative Agent shall have received opinions, dated the Effective Date, of General Counsel of the Borrower and of Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, special counsel for the Borrower in form and substance reasonably satisfactory to the Administrative Agent (and each Obligor hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Obligors. Opinions, each dated the date hereof, of Xxxxxx & Xxxx, counsel to the Obligors, substantially in the form of Exhibit E-1 hereto, and of Axtmayer Adsuar Xxxxx & Xxxxx, special Puerto Rico counsel to the Subsidiary Guarantors operating in the Commonwealth, substantially in the form of Exhibit E-2 hereto and, in each case, covering such other matters as the Agent or any Lender may reasonably request (and each Obligor hereby instructs such counsel to deliver such opinion to the Lenders and the Agent).

An opinion, addressed to the Administrative Agent and the Lenders and dated the Effective Date, of (i) Xxxxx Xxxxxx, Esq., General Counsel of the Borrower, substantially in the form of Exhibit E-1, (ii) Debevoise & Xxxxxxxx, special New York counsel to the Obligors, substantially in the form of Exhibit E-2 and (iii) Xxxxx X. Xxxxx, Lobosky and Company, Bahamas counsel to the Borrower, in form and substance satisfactory to the Administrative Agent and, in each case, covering such other matters relating to the Borrower, the other Obligors, this Agreement or the Transactions as the Required Lenders shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent). 364-Day Credit Agreement
