Opinion of Counsel for the Company and the Guarantors. The Initial Purchasers shall have received on the Closing Date or the Option Closing Date, as the case may be, the opinion of Xxxxx, Xxxxx Xxxx & Maw LLP, counsel for the Company and the Guarantors dated the Closing Date or the Option Closing Date, as the case may be, addressed to the Initial Purchasers substantially in the form attached hereto as Exhibit A.
Opinion of Counsel for the Company and the Guarantors. On the Closing Date, the Initial Purchasers shall have received (i) the opinion letter of Vorys, Xxxxx, Xxxxxxx and Xxxxx LLP, counsel for the Company and the Guarantors, substantially in the form of Exhibit A, (ii) the negative assurance letter of Vorys, Xxxxx, Xxxxxxx and Xxxxx LLP, counsel for the Company and the Guarantors, substantially in the form of Exhibit B and (iii) the opinion of Xxxx X. Xxxxx, the General Counsel of the Company, substantially in the form of Exhibit C.
Opinion of Counsel for the Company and the Guarantors. The Representative shall have received an opinion, dated the Closing Date, of Akin Gump Xxxxxxx Xxxxx & Xxxx LLP, counsel for the Company and the Guarantors, as to the matters described in Schedule D hereto.
Opinion of Counsel for the Company and the Guarantors. On the Closing Date, the Representatives shall have received (i) an opinion of White & Case LLP, outside counsel for the Company and certain Guarantors, dated as of such Closing Date, in a form reasonably acceptable to the Representatives; (ii) an opinion of Husch Xxxxxxxxx LLP, Missouri and Illinois counsel for certain Guarantors, dated as of such Closing Date, in a form reasonably acceptable to the Representatives; and (iii) an in-house legal opinion from Xxxxxxx X. Xxxxxxx, Senior Vice President and Chief Legal Officer of the Company, dated as of such Closing Date, in a form reasonably acceptable to the Representatives.
Opinion of Counsel for the Company and the Guarantors. On the Closing Date, the Underwriters shall have received the favorable opinion of Akerman LLP, counsel for the Company and the Guarantors, dated as of such Closing Date, the form of which is attached as Exhibit A.
Opinion of Counsel for the Company and the Guarantors. Wachtell, Lipton, Xxxxx & Xxxx, counsel for the Company and the Guarantors, shall have furnished to the Representatives, at the request of the Company and the Guarantors, their written opinion letter and negative assurance letter, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, substantially to the effect set forth in Annex A-2 hereto.
Opinion of Counsel for the Company and the Guarantors. At the Closing Time, the Initial Purchasers shall have received the favorable opinion, dated as of the Closing Time, of Xxxxx & Xxx Xxxxx PLLC, counsel for the Company and the Guarantors, in form and substance satisfactory to counsel for the Initial Purchasers, together with signed or reproduced copies of such letters for each of the other Initial Purchasers, to the effect previously agreed to by the parties and to such further effect as counsel for the Initial Purchasers may reasonably request.
Opinion of Counsel for the Company and the Guarantors. At Closing Time, the Representatives shall have received (i) the favorable opinion and negative assurance letter, dated as of Closing Time, of Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the Company and the Guarantors, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit A-1 hereto, and (ii) the favorable opinion, dated as of Closing Time, of Xxxxxxx X. Xxxxxxxx, general counsel of the Company and the Guarantors, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit A-2 hereto.

Kxxxxxxxxx Xxxxxxxx LLP, counsel for the Company and the Guarantors, shall have furnished to the Representatives, at the request of the Company and the Guarantors, their written opinion, dated the Closing Date and addressed to the Initial Purchasers, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex B hereto.
