Operative Time. Notwithstanding the execution of this Supplemental Indenture on the date hereof, the Amendments shall not amend the Indenture and become operative unless and until the Company accepts for purchase all of the outstanding Notes validly tendered for purchase pursuant to the Offer and a majority in principal amount of the outstanding Notes tendered as of the date hereof have not been withdrawn (the date and the time of such acceptance being referred to herein as the “Operative Time”). At the Operative Time, the Amendments shall be deemed fully operative without any further notice or action on the part of the Company, the Trustee, Holder or any other Person. In the event that the Holders of a majority of the outstanding Notes have withdrawn their written consents to this Supplemental Indenture as provided in the Offer or the Offer is terminated or withdrawn, or any condition of the Offer and the consent solicitation is not satisfied or waived by the Company, this Supplemental Indenture shall be null and void.

The Company will provide a written notice to the Trustee as soon as reasonably practicable after the determination of such Operative Time. At the Operative Time, the Amendments effected hereby shall be deemed fully operative without any further notice or action on the part of the Company, the Guarantors, the Trustee, the Holders or any other person. In the event that the Offer is terminated or withdrawn, or any condition of the Offer and the consent solicitation is not satisfied or waived by the Company, this Supplemental Indenture shall be null and void.
Operative Time. The period for which cover will be provided for under this Insurance is from the time the Insured Person leaves his home address to report for work with an Assured under the terms of the Offshore Diving Industry Agreement, anywhere in the world, during the whole time away and until return to home.

However the duration and extent of any one Incident so defined shall be limited to only those individual losses occurring during any one period of 72 consecutive hours and within a radius of ten (10) miles. Operative Time. Operative time means the period, whilst you are undertaking a trip away from your permanent place of residence which commences during the period of insurance and is planned to last no longer than thirty (30) days. Cover will commence from time of leaving home and continue until arrival back at home in the United Kingdom.
