Operational Responsibilities. Subject to the governance responsibilities exercised by the CAB as administered by the Project Director, the COUNTY shall conduct the day-to-day operations of the Health Center. Such operational responsibilities shall include but not be limited to: i. Applying for and maintaining all licenses, permits, certifications, accreditations and approvals necessary for the operation of the Health Center. ii. Credentialing and privileging of providers. iii. Receiving, managing, and disbursing, as applicable, revenues of the Health Center consistent with the approved budget for the Health Center. Subject to the limitations set forth in this Agreement, employing or contracting personnel to perform all clinical, managerial, and administrative services necessary to assure the provision of high- quality healthcare services to the Health Center's patients. v. Subject to the limitations set forth in this Agreement, managing and evaluating all Health Center staff and, if necessary disciplining, terminating or removing such staff pursuant to the COUNTY's personnel policies and processes. vi. Preparing and submitting cost reports, supporting data, and other materials required in connection with reimbursement under Medicare, Medicaid, and other third-party payment contracts and programs. vii. Providing for the annual audit of the Health Center, which shall be undertaken in consultation with the CAB in accordance with this Agreement, consistent with the requirements of the United States Office of Management and Budget Circular A-133, and the compliance supplement applicable to the consolidated Health Center Program to determine, at a minimum, the fiscal integrity of financial transactions and reports and compliance with Section 330 requirements and the fiscal policies of the COUNTY. CAB shall accept the annual health center audit. viii. Preparing monthly financial reports, which shall be submitted to the CAB, and managing financial matters related to the operation of the Health Center. ix. Operational Responsibilities. Subject to the terms and conditions of any Agreement resulting from this tender and any other instructions that may be communicated to the Caterer by KPRL, the caterer shall have the following operational responsibilities: - a) To ensure a high standard of work, dress and behavior of the staff; b) To provide the employees with appropriate uniforms including in the case of kitchen staff headwear to be worn at all times while on duty; c) To comply with all laws, by-laws or regulations from time to time in force and governing the operation of their business and employment of the staff; d) Deploy such number of qualified persons (staff) as are required to the satisfaction of KPRL; e) The staff shall at all times be employees of the caterer who shall be liable to such staff for their wages, salaries, allowances etc. f) The caterer shall ensure full compliance with all food hygiene, health and safety related by-laws and regulations and place restriction on the employment and g) deployment of any person likely to spread disease; h) The caterer shall ensure that at all times good personal hygiene, discipline and courtesy are maintained by the staff. i) If at any time KPRL is not satisfied with the work product of, or work ethic of any staff member it shall notify the caterer of its disapproval and the caterer shall immediately withdraw such staff member and replace him/her with a qualified and disciplined person.

Operational Responsibilities. Set forth below is a list of the ComEd Responsibilities. These ComEd Responsibilities are in addition to any other ComEd responsibilities or duties that are expressly set forth this Agreement. ComEd shall: (a) follow the directions set forth in this Agreement or any applicable Statement of Work regarding location, configuration, orientation and power of Equipment. (b) cause its other contractors to cooperate with Contractor so as not to impede Contractor in the timely performance of its obligations; (c) make office space, furnishings, telephones, and network connectivity available to such of Contractor’s personnel who are required to perform Services at the ComEd Premises throughout the period required for the performance of the Services and maintain such space at no charge to Contractor. All such resources are to be used exclusively for the performance of Contractor’s duties to ComEd. (d) provide reasonable access to ComEd’s facilities during working hours to be reasonably requested by Contractor and for which Contractor will provide ComEd with projections for the number of personnel and, upon reasonable advance notice to ComEd, at all other times. Subject to ComEd’s policies, necessary remote access to ComEd facilities shall be permitted on a twenty four hour, seven days a week basis; (e) participate in the conduct of training sessions; (f) timely participate in meetings and make its personnel readily available for such meetings; (g) approve or (where justified hereunder) reject deliverables and reports provided to ComEd by Contractor within a reasonable period of time after receipt no late than the periods set forth in this Agreement or any applicable Statement of Work; and (h) promptly provide Contractor with information regarding ComEd that is readily available to ComEd and reasonably required for the performance of the Services.

Operational Responsibilities. The CUSTOMER shall be responsible and liable for (i) all access to, use of, and integration with the ANYLINE® SDK and the procurement, installation, operation, support, and maintenance of the systems and APPLICATIONS in which the ANYLINE® SDK is used, including, without limitation, the computer hardware and software (ii) the implementation of safeguards to ensure the security of CUSTOMER's systems and data, and (iii) the accuracy, quality, integrity, legality, and reliability and appropriateness of all data collected and processed through the use of the ANYLINE® SDK. The CUSTOMER is solely responsible for the purposes for which and the manner in which data is processed and stored. Scan Results. The CUSTOMER may process data, images or image data, from or in connection with processing by the ANYLINE® SDK (the "SCAN RESULTS") for internal use only. SCAN RESULTS may not be used with any other OCR algorithm for the development of OCR technology or shared with other OCR providers for this purpose. Copyright Notices. Copyright or other proprietary notices may not be removed, deleted or made unrecognisable. Such notices shall be reproduced in the integration of the ANYLINE® SDK. Any breach of this provision shall be deemed a material breach of this AGREEMENT and that, upon a violation thereof by the CUSTOMER, ANYLINE shall have the right to terminate this AGREEMENT and/or to be compensated for any losses, liabilities or damages incurred by ANYLINE and/or any AFFILIATED COMPANY in connection with such violation. Third Party Beneficiaries. The CUSTOMER acknowledges that ANYLINE licenses parts of the ANYLINE® SDK from third party licensors and its AFFILIATED COMPANIES, that these licensors and the AFFILIATED COMPANIES are and shall be intended beneficiaries of this AGREEMENT, that they, their successors and assigns, may enforce certain of the terms of this AGREEMENT (including but not limited any violation of intellectual property rights and the confidentiality provisions) and that the AGREEMENT shall not limit the legal or equitable rights (including but not limited injunctive relief), benefits or remedies of such licensors and/or the AFFILIATED COMPANIES under or by reason of this AGREEMENT.

Permit its registration information to be audited for consistency with other information sources at PdN HIE’s discretion; and f. Be solely responsible for its use, nonuse and interpretation of any Health Data it receives, and the accuracy of any Health Data it sends, using Direct.

Atlantic Cable Maintenance and Repair Agreement -------------------------------------------------------------------------------- REPAIR PRACTICES 9.3 Each Ship Operator shall ensure that its Cable Ship is capable of carrying out any necessary Repair or Maintenance and Improvement on all Standard Scheduled Cables. 9.4 For Specific Scheduled Cables, it shall be the responsibility of the Maintenance Authority responsible for each such Specific Scheduled Cable to instruct the Ship Operator to carry out any necessary Repair or Maintenance and Improvement in accordance with relevant Specific Practices supplied to that Ship Operator by the relevant Maintenance Authority. If no such instructions on Specific Practices are received, the normal practices of the Ship Operator shall be followed. 9.5 The Management Committee shall, with that Party's consent, appoint one of the Parties to be the Schedule E Party whose function shall be to prepare, revise and distribute Schedule E. 9.6 A Maintenance Authority which is responsible for a Specific Scheduled Cable may apply to the Management Committee to have such Specific Scheduled Cable re-categorised as a Standard Scheduled Cable and included as such in Annex 1 to Schedule E.
