Operating Limitations. Except as set forth in Section 3.31 of the Company Disclosure Schedule, there is no non-competition, exclusivity or other similar agreement, commitment or understanding in place to which the Company or its Subsidiaries is a party or by which it is otherwise bound that would now or hereafter in any way limit its business or operations in a particular manner or to a particular locality or geographic region or for a specified period of time and the execution, delivery and performance of this Agreement does not and will not result in any restriction of the Company from engaging in its business or from competing with any person or in any geographic area, transferring or moving any of its assets or operations, in each case, where such covenant would have a Company Material Adverse Effect.
