OPERATING AUTHORITY. The DG Owner/Operator is responsible for establishing operating procedures and standards within their organization. The operating authority for the DG Owner/Operator shall ensure that the Operator in Charge of the generator is competent in the operation of the electrical generation system and is aware of the provisions of any operating agreements and regulations relating to the safe operation of electrical power systems. OPERATING AUTHORITY. The carriers participating in the interchange shall be registered with the Secretary to provide the transportation of the com- modities at the point where the phys- ical exchange occurs.

No proceeding is pending or, to the Company Stockholders' Knowledge, is threatened seeking the revocation or limitation of any such License that is reasonably expected to have, individually or in the aggregate, a Company Material Adverse Effect. Schedule 3.11 sets forth an accurate list and summary description as of the Company Unaudited Balance Sheet Date of all Licenses, certificates, trademarks, trade names, patents, patent applications and copyrights related to the assets owned or held by the Company or the Subsidiaries. The Licenses and other rights listed on Schedule 3.11 are valid, and the Company has not received any notice that any person intends to cancel, terminate or not renew any such License or other right. The Company has conducted and is conducting its business in compliance in all material respects with the requirements, standards, criteria and conditions set forth in the Licenses and other rights listed on Schedule 3.11 and is not in violation of any of the foregoing in any material respect. Except as specifically provided in Schedule 3.11, the consummation of the transactions contemplated by this Agreement will not result in a default under or a breach or violation of, or adversely affect the rights and benefits afforded to the Company by, any such Licenses or other rights.
OPERATING AUTHORITY. Carrier represents and warrants that it currently has in effect the appropriate operating authorities, if any be required, from the appropriate regulatory agencies to furnish services hereunder as a contract carrier, and Carrier agrees to maintain such operating authorities, where required, in effect during the term of this Agreement.

OPERATING AUTHORITY. Each of the Recipients acknowledges and agrees that immediately following the Closing under the Master Transaction Agreement, the Purchaser shall have the ultimate authority and control over the operation and administration of the CantaMia Property and shall have the sole discretion to take such actions as it deems necessary or appropriate, including, without limitation, directing the project managers of the CantaMia Property to approve or revise any applicable budgets (whether as a result of changes in the local, regional or national economic environment, the current or prospective operating performance of the CantaMia Property or otherwise). Each of the Recipients further acknowledges and agrees that the exercise of authority and control by the Purchaser pursuant to this Section 6 shall not create or increase any liability or obligation to the Recipients, notwithstanding that such exercise of authority and control may have an adverse impact on the Earnout Amount and the full or partial payment thereof; provided that to the extent reasonably practicable, the Purchaser advises the Recipients in advance of any material increase to the amount of any budgeted expenses or expenditures contemplated by any budgets relating to the CantaMia Property and gives due consideration to the bona fide concerns of the Recipients in advance of making any material revisions to any applicable budgets; provided, further, however, that the Issuer will not take any action primarily for the purpose of avoiding any earnout payments required hereunder.
