Open Source Materials Sample Clauses

Open Source Materials. The Software does not contain (i) any free or open source software constituting “Copyleft Materials,” or (ii) any other free or open source software not in compliance with the applicable notice, disclaimer, or other licensing requirements thereof. “Copyleft Materials” means materials subject to any license that requires as a condition of use, modification, or distri- bution thereof, that such materials, or materials combined or distributed with such materials, be (A) disclosed or distributed in source code or similar form, (B) licensed for the purpose of making derivative works, or (C) redistributable at no charge. The term includes materials subject to the GNU General Public License, the GNU Lesser General Public License, a Mozilla Public License, or similar licenses.

Open Source Materials. Licensor will remain compliant with all open source licenses. This will apply to all licensing environments.
Open Source Materials. Prior to the Effective Time, the Company shall (i) complete a scan of Company Source Code to identify Open Source Materials and Open Source Licenses applicable thereto using a program reasonably acceptable to Parent, (ii) permit Parent to review such scan and cooperate with Parent to identify any issues of concern to Parent and to develop a remediation plan, and (iii) use commercially reasonably efforts to implement any reasonable remediation plan requested by Parent.
Open Source Materials. “Open Source Materials” shall mean all software or other material that is distributed as “free software”, “open source software” or under a similar licensing or distribution terms (including but not limited to the GNU General Public License (GPL), GNU Lesser General Public License (LGPL), Mozilla Public License (MPL), BSD licenses, the Artistic License, the Netscape Public License, the Sun Community Source License (SCSL) the Sun Industry Standards License (SISL) and the Apache License).
Open Source Materials. The Company and its Subsidiaries are in compliance with the terms and conditions of all licenses for the Open Source Materials used in the business of the Company and its Subsidiaries, and have not used such Open Source Materials in such a way that would obligate the Company or its Subsidiaries or Affiliates under the terms of such licenses to distribute, license or make available to any third party the source code of any of the Company’s products (other than the applicable Open Source Material itself).

Open Source Materials. Schedule 3.17(m) lists all Open Source Materials that the Company or any Subsidiary has incorporated into any Company Products and describes the manner in which such Open Source Materials have been utilized, including, without limitation, whether and how the Open Source Materials have been modified, licensed and/or distributed by the Company and each Subsidiary. Except as specifically disclosed in Schedule 3.17(m), neither the Company nor any Subsidiary has (i) incorporated Open Source Materials into, or combined Open Source Materials with, any Company Product; (ii) used Open Source Materials in Company Products in a manner that creates obligations for the Company or any Subsidiary, as a condition of Exploitation of such Open Source Materials, to cause any Company Owned Intellectual Property to be (x) disclosed, distributed or otherwise made available in source code form, (y) licensed for the purpose of making derivative works or (z) redistributable at no charge or minimal charge.
Open Source Materials. The Company is in material compliance with the terms and conditions of all licenses for the Open Source Materials used by the Company, including all copyright notice and attribution requirements. Except as may be set forth in Section 4.12(j) of the Disclosure Schedules, the Company has not: (i) incorporated Open Source Materials into, or combined Open Source Materials with, (ii) distributed Open Source Materials in conjunction with, or (iii) used Open Source Materials in connection with, any Software owned by the Company, in such a way that, with respect to (i), (ii) or (iii), requires any source code of Software owned by the Company to be (A) offered, disclosed, or distributed, (B) licensed for the purpose of making derivative works, or (C) redistributed at no charge, in each case to any Person.
Open Source Materials. Section 2.17(k) of the Disclosure Schedule sets forth a true, correct and complete list of all Open Source Materials that Seller utilizes in any way in the Exploitation of Customer Offerings or Internal Systems and describes the manner in which such Open Source Materials are utilized, including whether and how the Open Source Materials have been modified and/or distributed by Seller. Seller has not used Open Source Materials in a manner that would create, or purport to create, an obligation of Seller with respect to the Customer Offerings or grant, or purport to grant, to any third party, any rights or immunities under Intellectual Property rights (including using any Open Source Materials that require, as a condition of Exploitation of such Open Source Materials, that any Software that incorporates, is incorporated into, is derived from or is distributed along with such Open Source Materials be (i) made available, disclosed or distributed in source code form, (ii) licensed for the purpose of making derivative works, (iii) redistributable at no charge or minimal charge), or (iv) licensed under terms that allow reverse engineering, reverse assembly or disassembly of any kind.
