Omnibus Agreement. As between First SunAmerica and Distributor, this Agreement, together with a certain letter agreement dated as of even date herewith between First SunAmerica and Distributor, constitutes the entire agreement, verbal and written, of the parties insofar as this Agreement is in furtherance of discharging their respective obligations under that certain agreement dated February 28, 1995 by and among First SunAmerica, Chase, Distributor and First SunAmerica Life Insurance Company ("Omnibus Agreement"). As between First SunAmerica and Distributor accordingly, this Agreement supersedes and annuls all other agreements between the parties relating to the distribution of the Contracts except for the Selling Agreements described in Section 2 hereinabove, the letter agreement referred to herein and the Omnibus Agreement.
Omnibus Agreement. At or prior to the Closing, ETP shall have entered into an Omnibus Agreement substantially in the form attached hereto as Exhibit C (the “Omnibus Agreement”).
Omnibus Agreement. At or prior to the Closing, OGE shall have entered into the Omnibus Agreement.
Omnibus Agreement. At or prior to the Closing, each of Seller and Purchaser shall execute and deliver the Omnibus Agreement, substantially in the form set forth in Exhibit B hereto.
Omnibus Agreement. “Omnibus Agreement” means the Omnibus Restructuring Agreement dated the date hereof among Pride, Seahawk and certain of their respective Subsidiaries.
Omnibus Agreement. This Omnibus Agreement shall have been duly executed and delivered by each Borrower, Guarantor, each Existing Administrative Agent and the Lenders.
Omnibus Agreement the Omnibus Agreement, dated July 2, 2007, among the Company, SEP GP, the MLP and Spectra Energy Corp, as amended, supplemented, amended and restated, or otherwise modified from time to time.

Omnibus Agreement. The Partnership has an omnibus agreement with MPC that addresses its payment of a fixed annual fee to MPC for the provision of executive management services by certain executive officers of the general partner and the Partnership’s reimbursement of MPC for the provision of certain general and administrative services to it, as well as MPC’s indemnification of the Partnership for certain matters, including environmental, title and tax matters.

As between Anchor National and Distributor, this Agreement, together with a certain letter agreement dated as of even date herewith between Anchor National and Distributor, constitutes the entire agreement, verbal and written, of the parties insofar as this Agreement is in furtherance of discharging their respective obligations under that certain agreement dated February 28, 1995 by and among Anchor National, Chase, Distributor and First SunAmerica Life Insurance Company ("Omnibus Agreement"). As between Anchor National and Distributor, accordingly, this Agreement supersedes and annuls all other agreements between the parties relating to the distribution of the Contracts except for the Selling Agreements described in Section 2 hereinabove, the letter agreement referred to herein and the Omnibus Agreement.
