OFFSET CREDITS a. To the exclusion of all others, Buyer or its assignees shall be entitled to all industrial benefits or offset credits which might result from this contract. OFFSET CREDITS. 11.1 LICENSEE agrees to notify UTC in advance of LICENSEE becoming involved in any prospective business venture in a foreign country which will make Licensed Products or in any way utilize Licensed Patents, including but not limited to starting a new business or expanding an existing business, and agrees to give UTC the right of first refusal to obtain, at no cost, offset credits in such foreign country as a result of such venture. UTC will reimburse LICENSEE for out-of-pocket expenses of LICENSEE associated with the transfer of such offset credits to UTC. OFFSET CREDITS. 51.1 Orders issued pursuant to this Agreement are placed with the expectation of current and/or anticipated future offset and localization obligations of Company or Ordering Companies or their designated assignees to the government of the country in which Company’s (or the relevant Ordering Company’s) customer resides and that requires the provision of offset and localization. Supplier agrees to provide reasonable assistance to Company or Ordering Companies or their designated assignees in any reasonable efforts to secure offset credit from the government of the country in which Company’s (or the relevant Ordering Company’s) customer resides in an amount equal to the value of the Orders placed under this Agreement. OFFSET CREDITS. 56.1 Orders issued pursuant to this Agreement are placed with the expectation of current and/or anticipated future Offset and Localization obligations of Lucent Technologies or its affiliates or their designated assignees to the customer country government that requires the provision of Offset and Localization. Supplier agrees to assist Lucent Technologies or its affiliates or their designated assignees in any reasonable efforts to secure offset credit from the customer country government in an amount equal to the value of the Orders placed under this Agreement.
OFFSET CREDITS. Schedule 2(a) sets forth the full amount of negative balances and credits in customers’ accounts.
OFFSET CREDITS. Any order placed by LMI with a sub-contractor outside the United States may be used to satisfy GULFSTREAM’s (including its parent company, General Dynamics Corporation, and all other affiliated entities) contractual obligations, current and future to procure goods and/or services from firms in said country to offset, in part, their sales of goods and services into that country and their impact on that country’s balance-of-trade accounts. GULFSTREAM shall reimburse for any LMI cost associated in implementing / obtaining these offset credits.
OFFSET CREDITS. 23.1 This Agreement is placed with the Seller under the auspices of GDMS-C's Offset Program for Canada. All Offset credit value from this Agreement is creditable solely to GDMS-C for its use on any Offset program of its choice. Xxxxxx agrees to assist GDMS-C in securing Offset credit from in an amount reflecting the value of this Agreement.
