Officer’s Certificate of the Company. Parent shall have received a certificate of the Company, validly executed for and on behalf of the Company and in its name by a duly authorized officer thereof, certifying that (i) the conditions set forth in Section 8.02(a), Section 8.02(b), Section 8.02(d), Section 8.02(e) and Section 8.02(l) have been satisfied and (ii) the Company Securityholder Schedule is true, complete and accurate in all respects as of the Closing Date.
