Officer’s Certificate and Opinion of Counsel to Be Given to Trustee. No consolidation, merger, conveyance, transfer, lease or other disposition shall be effective unless the Trustee shall receive an Officers’ Certificate and an Opinion of Counsel as conclusive evidence that any such consolidation, merger, conveyance, transfer, lease or other disposition and any such assumption complies with the provisions of this Article 10.

Officer’s Certificate and Opinion of Counsel to Be Given to Trustee. No such consolidation, merger, sale, conveyance, transfer, transfer or lease or other disposition shall be effective unless the Trustee shall receive an Officers’ Officer’s Certificate and an Opinion of Counsel as conclusive evidence that any such consolidation, merger, sale, conveyance, transfer, transfer or lease or other disposition and any such assumption and, if a supplemental indenture is required in connection with such transaction, such supplemental indenture, complies with the provisions of this Article 10.11. No consolidation, merger, sale, conveyance, transfer, transfer or lease or other disposition in accordance with Section 11.01 shall be effective unless the Trustee shall receive an Officers’ Officer’s Certificate and an Opinion of Counsel each stating and as conclusive evidence that any such consolidation, merger, sale, conveyance, transfer, transfer or lease or other disposition and any such assumption and, if a supplemental indenture is required in connection with such transaction, such supplemental indenture, complies with the provisions of this Article 1011.
