Common use of Office Support Clause in Contracts

Office Support. If Xxxxxxx’x employment hereunder is terminated by the Company without Cause (as defined in Section 4.3), by the Company choosing not to extend the Employment Period, upon Xxxxxxx’x Disability, by Xxxxxxx for Good Reason pursuant to Section 4.1(c)(i), or by Xxxxxxx voluntarily pursuant to Section 4.1(c)(ii), prior to the occurrence of a Change in Control, then the Company (i) shall provide Xxxxxxx, at the Company’s cost, an office comparable to that used by him prior to his termination and related office support (including making available the services of one executive assistant) until the last day of the second calendar year following the calendar year in which Xxxxxxx’x date of termination occurs and (ii) shall pay on the second anniversary of Xxxxxxx’x date of termination a lump sum in cash equal to the value of the office and related office support specified above (including the costs of one executive assistant) for the period from the last day of the second calendar year following the calendar year on which date of termination occurs until the third anniversary of his date of termination. If Xxxxxxx’x employment hereunder has been terminated by the Company choosing not to extend the Employment Period, upon Xxxxxxx’x Disability, by Xxxxxxx for Good Reason pursuant to Section 4.l(c)(i), or by Xxxxxxx voluntarily pursuant to Section 4.1(c)(ii), on or after the occurrence of a Change in Control, the Company (i) shall provide Xxxxxxx such office and related office support (including making available the services of one executive assistant) until the last day of the second calendar year following the calendar year in which Xxxxxxx’x date of termination occurs and (ii) shall pay on the second anniversary of Xxxxxxx’x date of termination a lump sum in cash equal to the value of the office and related office support specified above (including the costs of one executive assistant) for the period from the last day of the second calendar year following the calendar year on which date of termination occurs until the fourth anniversary of his date of termination.

The provision of benefits under this Section 5.5 following Xxxxxxx’x termination of employment shall be subject to Section 5.7 hereof.

If Xxxxxxx’x employment hereunder has been terminated upon Xxxxxxx’x Disability, by the Company choosing not to extend the Employment Period, upon Xxxxxxx’x Disability, by Xxxxxxx for Good Reason pursuant to Section 4.l(c)(i4.1(c)(i), or by Xxxxxxx voluntarily pursuant to Section 4.1(c)(ii)) or by Xxxxxxx’x Retirement, on or after the occurrence of a Change in Control, the Company (i) shall provide Xxxxxxx such office and related office support (including making available the services of one executive assistant) until the last day of the second calendar year following the calendar year in which Xxxxxxx’x date of termination occurs and (ii) shall pay on the second anniversary of Xxxxxxx’x date of termination a lump sum in cash equal to the value of the office and related office support specified above (including the costs of one executive assistant) for the period from the last day of the second calendar year following the calendar year on which date of termination occurs until the fourth anniversary of his date of termination. The provision of benefits under this Section 5.5 following Xxxxxxx’x termination of employment shall be subject to Section 5.7 hereof.
