Common use of Offer of Securities Clause in Contracts

Offer of Securities. Neither the Company nor anyone acting on its behalf has taken or will take any action that would subject the offer, issuance or sale of the Securities to the registration requirements of the Securities Act.

Offer of Securities. Neither the Company nor anyone any person acting on its behalf has taken or will take any action that (including any offering of any securities of the Company under circumstances which would require the integration of such offering with the offering of any of the Securities to be issued pursuant to this Agreement under the Securities Act, and the rules and regulations of the Commission promulgated thereunder), which might subject the offeroffering, issuance or sale of any of the Securities Shares to the Investors pursuant to this Agreement to the registration requirements of the Securities Act.
