OFFER AND PURCHASE. The Trust offers to NSAM, and NSAM agrees to purchase 11,001.10 Shares of the Trust, for a purchase price of $9.09 per Share, with no selling commission or dealer manager fees. The Trust agrees to issue the Shares upon receipt from NSAM of $100,000.00 pursuant to the wire instructions set forth in Exhibit A hereto.
OFFER AND PURCHASE. The Master Fund offers to each of NRFC and OZCI, and NRFC and OZCI each agrees to purchase 111,111.11 Shares of the Master Fund, for a purchase price of $9.00 per Share. The Master Fund agrees to issue the Shares upon receipt from NRFC of $1,000,000, and from OZCI of $1,000,000, pursuant to the wire instructions set forth in Exhibit A hereto.
OFFER AND PURCHASE. The Trust offers to the Buyer, and the Buyer agrees to purchase $450,000 of Class I shares and $50,000 of Class II shares (collectively, the “Shares”) of the Trust’s new Equity Income Fund the “Fund”). The Buyer acknowledges receipt from the Trust of the Shares and the Trust acknowledges receipt from the Buyer of an aggregate of $500,000 in full payment for the Shares.
OFFER AND PURCHASE. The Trust offers KPAM and KPAM purchases 8,410.5 shares, par value of $.001 per share (the "Shares"), of Xxxxxx, Xxxxxxx Global Equity Fund (the "Fund"), a series of the Trust, at a price of $12 per Share. KPAM acknowledges receipt of one certificate representing the Shares and the Trust acknowledges receipt from KPAM of $100,926 in full payment for the Shares.
OFFER AND PURCHASE. The Fund offers to each of NSAM and OZCI, and NSAM and OZCI each agrees to purchase 5,500.55 Class A Shares of the Fund, for a purchase price of $9.09
OFFER AND PURCHASE. The Fund offers Centurion Trust and ------------------ Centurion Trust purchases 10,000 shares of the Fund's authorized shares of beneficial interest, $.001 par value per share (the "Shares") representing 9,997 Shares of the Centurion U.S. Equity Fund, 1 Share of the Centurion International Equity Fund, 1 Share of the Centurion U.S. Contra Fund and 1 Share of the Centurion International Contra Fund at a price of $10 per Share (the "Initial Shares"). Each of these four Portfolios is an existing series of the Fund. Centurion Trust acknowledges receipt of certificates representing the Initial Shares and the Fund acknowledges receipt from Centurion Trust of $100,000.00 in full payment for the Initial Shares.
OFFER AND PURCHASE. The Trust offers to CUNA Mutual, and CUNA Mutual agrees to purchase 10 Class A shares (the "Shares") of each of the Aggressive Allocation Portfolio, Moderate Allocation Portfolio and Conservative Allocation Portfolio, each a series of the Trust. CUNA Mutual acknowledges receipt from the Trust of the Shares and the Trust acknowledges receipt from CUNA Mutual of an aggregate of $300.00 in full payment for the Shares.
OFFER AND PURCHASE. The Trust offers to the Buyer, and the Buyer agrees to purchase $10,000 of Class R6 shares (the “Shares”) of each of the following funds (each a series of the Trust): Mid-Cap Fund, Disciplined Equity Fund and NorthRoad International Fund (collectively, the “Funds”). The Buyer acknowledges receipt from the Trust of the Shares and the Trust acknowledges receipt from the Buyer of an aggregate of $30,000 in full payment for the Shares.
OFFER AND PURCHASE. The Trust offers to the Buyer, and the Buyer agrees to purchase $1,000 of Class Y shares (the “Shares”) of each of the following funds (each a series of the Trust): (i) Madison Government Bond Fund, (ii) Madison High Quality Bond Fund, (iii) Madison Corporate Bond Fund, (iv) Madison Investors Fund, (v) Madison NorthRoad International Fund, (vi) Madison Dividend Income Fund, (vii) Madison Disciplined Equity Fund, (viii) Madison Tax-Free Virginia Fund, and (ix) Madison Tax-Free National Fund (collectively referred to as the “New Funds”). The Buyer acknowledges receipt from the Trust of the Shares and the Trust acknowledges receipt from the Buyer of an aggregate of $9,000 in full payment for the Shares.
OFFER AND PURCHASE. The Trust offers to MCA, and MCA agrees to purchase, the number and amount of Class Z shares (the "Shares") shown on the Schedule attached to this Agreement of the Target Retirement 2020 Fund, Target Retirement 2030 Fund and Target Retirement 2040 Fund, each a series of the Trust. MCA acknowledges receipt from the Trust of the Shares and the Trust acknowledges receipt from MCA of an aggregate of $1,000,000 in full payment for the Shares.
