Notwithstanding Condition. 8.2, Buyer may use the Goods in its production processes or resell the Goods before ownership has passed to Buyer. Any sale of the Goods by Buyer shall be solely on the condition that such sale shall be on Buyer’s own behalf in the ordinary course of Buyer’s business at full value and Buyer shall deal as principal when making such sale. In such circumstances, title to the Goods shall pass from Seller to Buyer immediately before the time at which resale by Buyer occurs.
Notwithstanding Condition. 16.1 the Supplier will be entitled to disclose the Customer’s confidential information to a third party to the extent required by any court of competent jurisdiction or by a governmental or regulatory authority, or where there is a legal right, duty or requirement to disclose such confidential information.
Notwithstanding Condition. 8.7 and subject to any alternative provisions in the RFQ, the Council shall not be deemed to have accepted any Goods until it has had a reasonable time to inspect them following delivery.
Notwithstanding Condition. 15, where the need to repair the Delivery Location or repair or replace any other property arises directly from the act, omission, default or negligence of the Supplier the reasonable costs incurred in carrying out such maintenance or repairs shall be recoverable by the Council from the Supplier as a debt, payable within 28 days of the Council’s relevant invoice.]
Notwithstanding Condition. 8.1, the Manager may not procure the exercise of any voting rights attaching to the Fund's holdings of In-House Funds and Connected Investment Trusts except with the agreement or on the specific instructions of the Client but may count such holdings for the purpose of constituting a quorum at a general meeting of any In-House Funds or Connected Investment Trusts.
Notwithstanding Condition. 8.1, the buyer may resell the Goods in the ordinary course of the buyer’s business and, if it does so, legal and beneficial ownership of Goods will pass to the buyer immediately prior to the buyer entering into a binding contract for the sale of those Goods. Such right to sell the Goods shall automatically terminate or suspend on the termination or suspension of the Contract.
