Notice to Transfer Agent. Promptly, but in no case later than three Business Days, following the occurrence of a Mandatory Purchase Event, the Purchaser shall give notice to the Transfer Agent that a Mandatory Purchase Event has occurred, and request that the Transfer Agent mail the Mandatory Purchase Notice to the record holders of the Listed Shares as of earlier of the date of the Mandatory Purchase Event or the most recent practicable date. If the Purchaser so requests, the Transfer Agent shall, and the Company shall use its reasonable efforts to cause the Transfer Agent to, mail the Mandatory Purchase Notice to such record holders of Listed Shares.

Upon such notification, such transfer agent (and all such transfer agents are hereby irrevocably authorized to comply with this Section 3.3(e)) shall register on its books the necessary number of shares of Class A Common Stock and Class B Common Stock issuable upon such exercise (based upon the aggregate number of Warrants so exercised and the written instruction of the Company), determined in accordance with Section 3.3(g); provided that such Holder shall have complied with Section 3.3(a).

Upon the exercise of any Warrant, the Warrant Agent is hereby authorized and directed to notify any transfer agent of the Common Stock upon the exercise of any Warrant and to take any other reasonable steps to effect the exercise. Upon full execution of this Agreement, the Company will immediately notify its transfer agent that the Shares are not subject to the Lock-Up or any other contractual restrictions on transfer, and instruct its transfer agent to within 1 business day of the date of this Agreement deliver (i) by email a written statement to ASJC and Sponsor Investor evidencing its ownership of the ASJC Shares, free of any restrictive legend, and within 3 business days (ii) the Shares to the designated brokerage account of ASJC and Sponsor Investor, as applicable.

The parties agree (a) that the furnishing of a copy of this Agreement to the Transfer Agent shall constitute notice to the Transfer Agent of the revocation of any instructions inconsistent with this Agreement, and (b) to promptly sign and deliver to the Transfer Agent such further documents as may be required by the Transfer Agent to effect the same. The parties agree that the Transfer Agent will be issued new instructions consistent with the provisions of this Agreement and the New Warrants.
