Common use of Notice to Account Debtors Clause in Contracts

Notice to Account Debtors. Upon the occurrence and during the continuance of an Event of Default, Administrative Agent may (if Required Lenders concur or direct), without prior notice to Borrower, notify any or all Account Debtors that the Accounts have been assigned to Administrative Agent for the benefit of Lenders and that Administrative Agent has a Security Interest therein for the benefit of Lenders, and Administrative Agent may direct, or Borrower, at Administrative Agent's request, shall direct, any or all Account Debtors to make all payments upon the Accounts directly to Administrative Agent for the benefit of Lenders.
