Notice of Change in Debt Rating. Within five (5) Business Days after Standard & Poor's or Xxxxx'x announces a change in the Borrower's Debt Rating, notice of such change. Borrower will deliver together with such notice a copy of any written notification which Borrower received from the applicable rating agency regarding such change of Debt Rating.

TGI, on 116 behalf of the Loan Parties, will deliver, together with such notice, a copy of any written notification which TGI received from the applicable rating agency regarding such change of Debt Rating or Long Term Issuer Credit Rating, as the case may be.
