Special procedures may be required for the assessment, remediation, removal, transportation, or disposal of environmental media, wastes, asbestos, NORM and other Hazardous Substances from the Conveyed Interests. This Section shall not limit Buyer’s remedies under the other terms of this Agreement.

THE XXXXX, MATERIALS, AND EQUIPMENT LOCATED ON THE PROPERTIES OR INCLUDED IN THE PROPERTIES MAY CONTAIN NORM AND OTHER WASTES OR HAZARDOUS SUBSTANCES. NORM CONTAINING MATERIAL AND/OR OTHER WASTES OR HAZARDOUS SUBSTANCES MAY HAVE COME IN CONTACT WITH VARIOUS ENVIRONMENTAL MEDIA, INCLUDING WATER, SOILS OR SEDIMENT. SPECIAL PROCEDURES MAY BE REQUIRED FOR THE ASSESSMENT, REMEDIATION, REMOVAL, TRANSPORTATION, OR DISPOSAL OF ENVIRONMENTAL MEDIA, WASTES, ASBESTOS, NORM AND OTHER HAZARDOUS SUBSTANCES FROM THE PROPERTIES. NOTHING CONTAINED IN THIS SECTION 5.16 WILL LIMIT, RESTRICT OR OTHERWISE AFFECT THE BUYER’S RIGHTS TO RAISE ENVIRONMENTAL DEFECTS UNDER SECTION 2.1 OF THIS AGREEMENT OR SEEK INDEMNIFICATION PURSUANT TO SECTION 10.2 FOR A BREACH OF SECTION 3.10. Equipment and sites included in the Assets may contain asbestos, NORM or other Hazardous Substances. NORM may affix or attach itself to the inside of xxxxx, pipelines, materials and equipment as scale, or in other forms. The xxxxx, materials and equipment located on the Assets or included in the Assets may contain NORM and other wastes or Hazardous Substances. NORM containing material and/or other wastes or Hazardous Substances may have come in contact with various environmental media, including, water, soils or sediment. Special procedures may be required for the assessment, remediation, removal, transportation or disposal of environmental media, wastes, asbestos, NORM and other Hazardous Substances from the Assets. For the avoidance of doubt, no Environmental Condition involving NORM shall constitute the basis of an Environmental Defect unless such NORM results in measured radioactivity in excess of a level of 50 µR/hr (50 micro roentgen per hour) and more than 30 piC/gram for Radium 226 and Radium 228.

Special procedures may be required for the assessment, remediation, removal, transportation or disposal of environmental media, wastes, asbestos, NORM and other Hazardous Substances from the Subject Interests. This Section shall not limit BG’s remedies under the other terms of this Agreement.

NORM containing material and/or other wastes or hazardous substances may have come in contact with various environmental media, including water, soils or sediment. Special procedures may be required for the assessment, remediation, removal, transportation, or disposal of environmental media, wastes, asbestos, hazardous substances, and NORM from the System Assets. This Section 10.2 does not relieve or release Anadarko and the Contributing Parties from any representation, warranty, covenant, obligation, indemnification, or commitment by Anadarko and the Contributing Parties regarding Environmental Laws, Environmental Activity or Hazardous Substances in this Agreement, including but not limited to those contained in Section 4.9 and Section 9.3.

Regency and Regency Sub acknowledge that the assets of the Xxxxxx LLCs and the Subsidiaries have been used for the gathering and transportation of oil, gas, condensate and other gaseous and liquid hydrocarbons or any combination thereof and sulphur, carbon dioxide or other materials extracted from hydrocarbons (collectively, “Hydrocarbons”) and that there may be petroleum, produced water, wastes, or other substances or materials located in, on, under or associated with such assets. Equipment and sites included in such assets may contain Hazardous Materials or naturally occurring radioactive material (“NORM”). NORM may affix or attach itself to the inside of pipes, materials and equipment as scale, or in other forms. The pipes, materials, and equipment included in such assets may contain NORM and other Hazardous Materials. NORM-containing material and/or other Hazardous Materials may have come into contact with various environmental media, including without limitation, water, soils or sediment. Special procedures may be required for the assessment, remediation, removal, transportation, or disposal of environmental media, wastes, Hazardous Materials and NORM from such Assets.

For the avoidance of doubt (a) NORM shall not, by itself, constitute the basis of a breach of Sellers’ representations and warranties set forth in Section 9.14, HN\1533753.22 and (b) to the extent an Environmental Condition is based on NORM that is presently in compliance with applicable Environmental Laws, it shall not constitute the basis of an Environmental Defect.
