Nonsolicitation of Customers and Employees. Executive hereby agrees that he shall not during any period that he is subject to the provisions of Section 7, directly or indirectly, (i) solicit any customer of Penns Xxxxx, JSSB or any majority-owned subsidiary of either of them located in the Non-Competition Area for any banking or financial services business, or (ii) solicit or hire any persons who are currently or were within six (6) months prior to Executive’s termination date employees of Penns Xxxxx, JSSB or any majority-owned subsidiary of either of them. Executive also agrees that he shall not, for the period described in the preceding sentence, encourage or induce any of such customers or employees of Penns Xxxxx, JSSB or any majority-owned subsidiary of either of them to terminate their business relationship with any of such entities.

Executive hereby agrees that he shall not during any period that he is subject to the provisions of Section 8, directly or indirectly, (i) solicit any customer of Bancorp, FLIG or FLWM or any affiliate of Bancorp for any banking, securities brokerage, investment, advising, insurance or other services then being offered by any of such entities or (ii) solicit or hire any persons who were at any time employees of the Bancorp, FLIG or FLWM or any other affiliate of Bancorp except for former employees of JFG. Executive also agrees that he shall not at any time encourage or induce any of such customers or employees, except for former employees of JFG, of Bancorp, FLIG or FLWM or any affiliate of Bancorp to terminate their relationship with any of such entities.
Nonsolicitation of Customers and Employees. (a) The Executive hereby acknowledges and recognizes the highly competitive nature of the Business of the Company and accordingly agrees that, during the Employment Period and for a period of one year following the date of termination of the Executive's employment under this Agreement ("the Termination Date"), unless otherwise agreed to in writing by the Company, the Executive shall not either directly or indirectly, in any manner or capacity, whether as principal, agent, partner, officer, director, employee, joint venturer, salesman, or corporate Shareholder or otherwise for the benefit of any Person (as defined below), (i) render services to, or solicit the rendering of services to any Person in competition with the business of the Company, which then is, or at any time during a period of one year prior to the Termination Date was a Customer (as defined below) of the Company, or (ii) engage in such conduct of any kind whatsoever with any Person, which is then or has been at any time during a period of one year prior to the Termination Date a Customer, employee, salesperson, agent or representative of the Company in any manner which interferes or might interfere with the relationship of the Company with such Person, in an effort to obtain such Person as a Customer, supplier, employee, salesperson, agent or representative of any Business in competition with the Company, or (iii) hire or participate in the hiring by any Person of any employee of the Company.
Nonsolicitation of Customers and Employees. 3.5(a) Customers Upon cessation of employment with the Company, Employee shall not for a period of two (2) years solicit customers of the Company for refinancing or other financial transactions and Employee hereby also agrees to refer back all clients and business originated while at the Company to the Company.

I agree that the Company has invested substantial time, effort and expense in compiling its confidential and trade secret information and in assembling its present personnel and customers. In order to protect the confidentiality of the Company's sensitive information, I agree that, during my employment and for one (1) year thereafter, I shall not do the following: a. directly or indirectly solicit in any way any customer of the Company with the use or assistance of Confidential Information of the Company that I obtained during my employment for the purpose of engaging in or assisting in soliciting business from that customer; b. solicit any person who is then in the employ of the Company to leave the employ of the Company; or c. aid, assist or counsel any other person, firm or corporation to do any of the above. 6.
Nonsolicitation of Customers and Employees. Seller agrees that, for two years following the Closing Date, it will not, and will not permit any of its affiliates to (i) directly compete for or solicit customers whose deposit accounts are included in the Deposit Liabilities, or (ii) directly compete for or solicit as officers or employees of Seller or any of its affiliates any of the Employees. This Section shall not preclude Seller from making any communication: (i) with any customer who, independent of any solicitation by Seller subsequent to the Closing Date, is or becomes Seller’s customer at a location other than a Branch Office; (ii) with any customer who receives periodic statements from Seller with respect to any outstanding loan or deposit account owned or serviced by or on behalf of Seller after the Closing; or (iii) by means of general advertising or mass mailings which are not specifically targeted to customers of Branch Office. The prohibition on solicitation set forth in this Section 6.14 shall specifically include the prohibition by the Seller on placing any billboard advertising within the City limits of Inverness or a direct mailing and telephone calls to customers whose deposit accounts are included in the Deposit Liabilities. Additionally, this Section shall not preclude Seller from acquiring a financial institution which competes directly with the Bank.

At all times during the Term and for a period of five (5) years from the date hereof, (a) the Consultant shall not, directly or indirectly, for himself or on behalf of or in conjunction with any other person, solicit or attempt to solicit the business or patronage of any customer of the Company on behalf of a business which provides products or services competitive with those of WMI, nor shall Consultant interfere with the business relationship of WMI with any customer of WMI, and (b) the Consultant shall whether individually, as a director, manager, member, stockholder, partner, owner, employee, consultant or agent of any business, or in any other capacity, directly or indirectly, employ, solicit, disturb, entice away, or in any other manner persuade any employee of WMI or its affiliated entities (the "Corporation") to discontinue or alter his or her relationship with the Corporation.

Executive also agrees that Executive shall not, for the period described in the preceding sentence, encourage or induce any of such customers or employees of Penns Xxxxx, JSSB or any majority-owned subsidiary of either of them to terminate their business relationship with any of such entities.
