NONSOLICITATION OF COMPANY EMPLOYEES. To further preserve the rights of Company pursuant to Section 8 above and Section 10 below, and for the consideration promised by Company under this Agreement, during the Term of Executive’s employment with Company and for a period of twelve months thereafter, regardless of the reason for termination of employment, Executive will not , directly or indirectly, (i) hire any current or prospective employee of Company, or any subsidiary or affiliate of Company (including, without limitation, any current or prospective employee of Company within the 6-month period proceeding Executive’s last day of employment with Company who work, works, or has been offered employment by Company); (ii) solicit or encourage any employee to terminate their employment with Company, or any subsidiary or affiliate of Company; or (iii) solicit or encourage any employee to accept employment with any such business, operation, corporation, partnership, association, agency, or other person or entity with which Executive may be associated.

NONSOLICITATION OF COMPANY EMPLOYEES. During the Restricted Period, Employee shall not, directly or indirectly, recruit, solicit, induce, or influence (or seek to induce or influence) any person who is employed by, hired by, affiliated with, or acts as a consultant, independent contractor, or salesperson for, HUMBL or the Company to terminate or alter his/her relationship with the Company or HUMBL.
NONSOLICITATION OF COMPANY EMPLOYEES. You hereby agree that during your continued employment and for six (6) months after the termination of your employment for any reason, you will not, either directly or indirectly, solicit, attempt to solicit, induce or otherwise cause any employee of the Company to terminate his or her employment with the Company.

Notwithstanding the forgoing, the prohibition in this Section 7.2 shall not restrict Employee or its designee from soliciting for employment or engagement, offering to hire or engage and/or hiring or engaging any person (i) who responds to general solicitation of employment or engagement (including through the use of advertisements or recruiting firms), or (ii) who ceases to be employed or engaged by the Company prior to any discussion regarding employment, engagement or other contact between Consultant or its designee and such person.
NONSOLICITATION OF COMPANY EMPLOYEES. To further preserve the rights of the Company pursuant to the nondisclosure covenant discussed above, and for the consideration promised by the Company under this Agreement, during the Term and for a period of 12 months thereafter the Executive will not, directly or indirectly, (i) solicit or encourage any current or prospective employee of the Company, or of any subsidiary or affiliate of the Company who works, or has worked or been offered employment by the Company within the preceding 12-month period (other than Executive's personal assistant), to terminate his/her employment with the Company or any subsidiary or affiliate of the Company; or (ii) solicit or encourage any such employee to accept employment with any business, operation, corporation, partnership, association, agency, or other person or entity. This provision shall apply regardless of the reason for termination of employment.

During your employment and for a period of two (2) years after termination of your employment, you agree not to hire, use, or contract with (or to solicit for hire, use or to contract with) any individual(s) employed by the Company, or who left their employment at the Company during your employment with the Company or within ninety (90) days after your last day of employment (collectively, “Staff”). During your employment and for a period of two (2) years after termination of your employment, you agree not to contact Staff (or have someone else contact Staff) for the purpose of terminating their relationship with the Company or offering employment opportunities outside of the Company. Notwithstanding anything in this Article 8 to the contrary, nothing in this Article 8 restricts Employee’s action with respect to employment of contraction that results from employee-originated contact or employee response to advertisements of general application.
NONSOLICITATION OF COMPANY EMPLOYEES. Each of the Sellers hereby agree that it will not and will cause its Sellers’ Parent, Affiliates and their respective Subsidiaries not to, during the Nonsolicitation Period, directly or indirectly, recruit or solicit or attempt to hire, recruit or solicit, on behalf of the Sellers or any other Person, any individual who is an employee of any of the Companies or Subsidiaries on the Closing Date; provided, however, that nothing in this Section 6.3 shall prohibit (a) the placing of any advertisements for positions to members of the public generally, such as through newspapers or magazines (including industry-specific magazines), radio, television or direct mail or (b) the recruitment, solicitation or attempt to hire of any individual whose employment with the Companies or Subsidiaries or their Affiliates (including Buyer) terminated prior to commencement of employment discussions.

NONSOLICITATION OF COMPANY EMPLOYEES. Retiree agrees that, without the prior written consent of Company’s Chief Executive Officer or Senior Vice President and General Counsel, during the Restricted Period, Retiree will not directly or indirectly for Retiree’s own account or for the benefit of any other person, hire, attempt to hire, employ, solicit for employment, or recruit any person whom Company employed within six months immediately preceding the Retirement Date and with whom Retiree had contact relating to the Business or about whom Retiree had access to Confidential Information, or entice, persuade, encourage, induce, advise, or recommend to any such person that he or she terminate or abandon his or her employment with Company.
