Nonrefundable Xxxxxxx Money. If this Agreement includes any contingencies (Financing or Home Sale), Buyer’s xxxxxxx money deposit shall automatically become nonrefundable upon the satisfaction or waiver of all such contingencies. Release of the xxxxxxx money shall be automatic, no additional authorization or signatures shall be required to release the funds to the seller. Buyer instructs the holder of the xxxxxxx money deposit to immediately transfer the deposit to the Seller. The xxxxxxx money deposit shall be applied towards the purchase price at closing. If this transaction should fail to close the xxxxxxx money deposit shall be forfeited to the Seller. Nonrefundable Xxxxxxx Money. The xxxxxxx monies paid by Buyer on this Contract are nonrefundable, except if title cannot be made marketable in accordance with the terms of this Contract and closing does not occur due to the failure of unmarketable title or other reasons attributed to Seller. In the event title cannot be made marketable and closing does not occur due to the failure of unmarketable title or other reasons attributed to Seller, then the xxxxxxx money shall be automatically refunded to Buyer without further action or approval by Seller required.
Nonrefundable Xxxxxxx Money. As used throughout this Agreement, the term “Nonrefundable Xxxxxxx Money” means the portion of the Xxxxxxx Money that is applicable to the Purchase Price but becomes non-refundable to Purchaser as provided in this Agreement, except in the event of (i) a Seller default (after notice and opportunity to cure as provided in this Agreement); (ii) the failure of any Closing Condition (as hereinafter defined) to be satisfied by the Closing Date, as provided in this Agreement; (iii) Seller fails and/ or refuses to reasonably consent to any application for the Approvals (as hereinafter defined); or (iv) a breach of any warranty or representation set forth in Section 10 below. Immediately upon Purchaser’s deposit of the Xxxxxxx Money with the Title Company, $10,000.00 of the deposited Xxxxxxx Money shall be Nonrefundable Xxxxxxx Money. Unless Purchaser terminates this Agreement on or before April 7, 2010, another $50,000.00 of the deposited Xxxxxxx Money (for a total of $60,000.00) shall be Nonrefundable Xxxxxxx Money on April 8, 2010. Upon the expiration of the Feasibility Period and at all times thereafter, all of the deposited Xxxxxxx Money shall be Nonrefundable Xxxxxxx Money.
