Common use of Noncontravention Clause in Contracts

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreement, or any mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to Acquirer.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany limited liability company agreement, or any operating agreement, regulation, mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to AcquirerContributor or to the Membership Interest.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany charter, or any mortgagebylaws, limited liability company agreement, partnership agreement, declaration of trust, mortgage indenture, lien agreement, note, contract, agreement, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to AcquirerContributor or to any Contributed Interests, any Contributed Entity or any Property.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by the Acquirer has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany existing certificate of limited partnership, or any partnership agreement, mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to the Acquirer.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany charter, or any mortgagebylaws, limited liability company agreement, partnership agreement, declaration of trust, mortgage indenture, lien agreement, note, contract, agreement, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to AcquirerContributor or to any Contributed Interests, any Contributed Entity or any Property Entity.

Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany charter, or any mortgagebylaws, limited liability company agreement, partnership agreement, declaration of trust, mortgage indenture, lien agreement, note, contract, agreement, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to AcquirerContributor or to any Contributed Interests, any Contributed Entity, Subsidiary Interests or Property Entity.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer the Acquiror has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany existing certificate of limited partnership, or any partnership agreement, mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to Acquirerthe Acquiror.

Noncontravention. Neither None of the entry into nor into, the performance of, or the compliance with, this Agreement by Acquirer has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership AgreementAcquirer’s articles of amendment and restatement, amended and restated bylaws, or any mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to Acquirer.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer the Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership AgreementContributor’s organizational documents, or any mortgageregulations, mortgage indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to AcquirerContributor or to the Contributed Assets.

Noncontravention. Neither None of the entry into nor into, the performance of, or the compliance with, this Agreement by Acquirer each Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany limited liability company agreement, or any operating agreement, regulation, mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to Acquirersuch Contributor or to the Membership Interests.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany bylaws, or any regulation, mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to AcquirerContributor or to the Membership Interest.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by the Acquirer has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany existing certificate of formation, or any limited liability company agreement, mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to the Acquirer.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by the Acquirer has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreement, or any existing mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to the Acquirer.

Noncontravention. Neither None of the entry into nor into, the performance of, or the compliance with, this Agreement by Acquirer has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership AgreementAcquirer’s articles of incorporation, bylaws, or any mortgage, indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to Acquirer.

Noncontravention. Neither the entry into nor the performance of, or compliance with, this Agreement by Acquirer Contributor has resulted, or will result, in any violation of, or default under, or result in the acceleration of, any obligation under the Partnership Agreementany charter, or any mortgagebylaws, limited liability company agreement, partnership agreement, declaration of trust, regulations, mortgage indenture, lien agreement, note, contract, permit, judgment, decree, order, restrictive covenant, statute, rule, or regulation applicable to AcquirerContributor or to the Contributed Assets.
