Noncompetition Agreements. Concurrently with the execution of this Agreement, Company has delivered to Parent noncompetition agreements, in form and substance reasonably acceptable to Parent, executed by the persons named on Part 5.17 of the Company Disclosure Letter, which noncompetition agreements are expressly conditioned upon the consummation of the Merger and shall become effective only upon the Effective Time.
