Common use of Non-Solicitation or Hire Clause in Contracts

Non-Solicitation or Hire. During the Term and for a period of two years following the termination of the Executive’s employment for any reason, the Executive shall not directly or indirectly (a) solicit or attempt to solicit or induce, directly or indirectly, any party who is a customer or client of the Company or its subsidiaries, or who was a customer or client of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates, for the purpose of marketing, selling or providing to any such party any services or products offered by or available from the Company or any of its subsidiaries; (b) interfere with or attempt to interfere with any business relationships (whether formed during, or after the Term) of the Company or any of its subsidiaries with their suppliers; (c) solicit, or attempt to solicit or induce, directly or indirectly, any employee of the Company or its subsidiaries or any person, who was an employee of the Company or its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment hereunder terminates, to terminate such employee’s employment relationship with the Company or its subsidiaries in order to enter into a similar relationship with the Executive, or any other person or entity; or (d) hire any employee of the Company or its subsidiaries or any person, who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment hereunder terminates.

During the Term and for a period of two years twelve (12) months following the termination of the Executive’s employment for any reason, the Executive shall not directly or indirectly (a) solicit or attempt to solicit or induce, directly or indirectly, any party who is a customer or client of the Company or any of its subsidiariesAffiliates, or who was a customer or client of the Company or any of its subsidiaries Affiliates at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates, for the purpose of marketing, selling or providing to any such party any services or products offered by or available from the Company or any of its subsidiaries; Affiliates, (b) interfere with or attempt to interfere with any business relationships (whether formed before, during, or after the Term) of the Company or any of its subsidiaries Affiliates with their suppliers; , or (c) solicit, hire or solicit or attempt to hire or solicit or induce, directly or indirectly, any employee of the Company or any of its subsidiaries Affiliates or any person, who was an employee of the Company or any of its subsidiaries Affiliates during the twelve six (126) month period immediately prior to the date the Executive’s employment hereunder terminates, to terminate such employee’s employment relationship with the Company or any of its subsidiaries Affiliates in order to enter into a similar relationship with the Executive, Executive or any other person or entity; provided however, that advertising for employment in any online careers website, newspaper, trade journal or (d) hire any employee of the Company or its subsidiaries or any person, who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior other publication available for general distribution to the date the Executive’s employment hereunder terminatespublic without specific reference to any particular employees shall not constitute a breach of this Section 7.2.

During the Term and for a period of two years following the termination of the Executive’s 's employment for any reason, the Executive shall not directly or indirectly (a) solicit or attempt to solicit or induce, directly or indirectly, any party who is a customer or client of the Company or its subsidiaries, or who was a customer or client of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s 's employment terminates, for the purpose of marketing, selling or providing to any such party any services or products offered by or available from the Company or any of its subsidiaries; (b) interfere with or attempt to interfere with any business relationships (whether formed during, or after the Term) of the Company or any of its subsidiaries with their suppliers; (c) solicit, or attempt to solicit or induce, directly or indirectly, any employee of the Company or its subsidiaries or any person, who was an employee of the Company or its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s 's employment hereunder terminates, to terminate such employee’s 's employment relationship with the Company or its subsidiaries in order to enter into a similar relationship with the Executive, or any other person or entity; or (d) hire any employee of the Company or its subsidiaries or any person, who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s 's employment hereunder terminates.

Non-Solicitation or Hire. During the Term and for a period of two years six (6) months following the termination of the ExecutiveEmployee’s employment for any reason, the Executive Employee shall not directly or indirectly (a) solicit or attempt to solicit or induce, directly or indirectly, (a) any party who is a customer or client of the Company or its subsidiaries, or who was a customer or client of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the ExecutiveEmployee’s employment terminates, for the purpose of marketing, selling or providing to any such party any services or products offered by or available from the Company or any of its subsidiaries; , (b) interfere any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or attempt to any subsidiary or in any manner interfere with any business relationships agreement or contract between the Company or any subsidiary and such supplier or (whether formed during, or after the Termc) any employee of the Company or any of its subsidiaries with their suppliers; (c) solicit, or attempt to solicit or induce, directly or indirectly, any employee of the Company or its subsidiaries or any person, who was an employee of the Company or its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment hereunder terminates, to terminate such employee’s employment relationship with the Company or its subsidiaries in order to enter into a similar relationship with the Executive, or any other person or entity; or (d) hire any employee of the Company or its subsidiaries or any person, who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the ExecutiveEmployee’s employment hereunder terminatesterminates to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Employee, or any other person or any entity in competition with the Business of the Company or any of its subsidiaries.
